Business and Relocation Expenses. (a) During the Employment Term, the Employers shall reimburse the Executive for reasonable and customary business expenses, including the reasonable costs of business entertainment and travel, in accordance with the policies of the Employers, in connection with the performance of his duties hereunder, promptly upon periodic presentation by the Executive of an itemized account of such expenses and reasonable substantiation, in accordance with the Employers' policies concerning reimbursement of business expenses.

Business and Relocation Expenses. The Company shall pay or reimburse the Executive for all reasonable, customary and necessary business expenses incurred or paid by the Executive in the performance of his/her duties and responsibilities hereunder, subject to any maximum annual limit and other restrictions on such expenses as set forth in the Company's Travel Policy as may be amended from time to time, and to such reasonable substantiation and documentation as may be specified by the Company from time to time. In addition, in the event that the Executive relocates to a principal office of the Company in accordance with the provisions of Section 3(c), the Company shall pay or reimburse the Executive for reasonable and necessary shipping, travel and lodging relocation expenses, and such other reasonable and necessary relocation expenses as may be agreed to between the Executive and Company.
Business and Relocation Expenses. SBD shall reimburse Xx. Xxxxx for any reasonable reimbursable business expenses under SBD’s expense policy that Xx. Xxxxx incurs through December 31, 2024. In addition, SBD will reimburse Xx. Your right to payment or reimbursement for expenses hereunder shall be subject to the following additional rules: (i) the amount of expenses eligible for payment or reimbursement during any calendar year shall not affect the expenses eligible for payment or reimbursement in any other calendar year, (ii) payment or reimbursement of any amounts hereunder shall be made not later than December 31 of the calendar year following the calendar year in which the expense or payment was incurred, and (iii) the right to payment or reimbursement is not subject to liquidation or exchange for any other benefit.

  • Termination Expenses If this Agreement shall terminate or shall be terminated after execution pursuant to any provisions hereof (otherwise than pursuant to Section 9 hereof or Section 10 hereof (except pursuant to the first clause of Section 10(i))) or if this Agreement shall be terminated by the Underwriters because of any failure or refusal on the part of the Partnership to comply with the terms or fulfill any of the conditions of this Agreement, the Partnership agrees to reimburse the Underwriters for all reasonable out-of-pocket expenses (including reasonable fees and expenses of counsel for the Underwriters) incurred by the Underwriters in connection herewith.

If fees begin to accrue in the middle of a month or if this Agreement terminates before the end of any month, all fees for the period from that date to the end of that month or from the beginning of that month to the date of termination, as the case may be, shall be prorated according to the proportion that the period bears to the full month in which the effectiveness or termination occurs. Upon the termination of this Agreement with respect to the Fund, the Advisor shall pay to the Sub-advisor such compensation as shall be payable prior to the effective date of termination.

  • Litigation Expenses If either party successfully seeks to enforce any provision of this Agreement or to collect any amount claimed to be due under it, this party will be entitled to reimbursement from the other party for any and all of its out-of-pocket expenses and costs including, without limitation, reasonable attorneys' fees and costs incurred in connection with the enforcement or collection.

  • Accrued Wages and Vacation; Expenses Without regard to the reason for, or the timing of, Employee’s termination of employment: (i) the Company shall pay the Employee any unpaid base salary due for periods prior to the Termination Date; (ii) the Company shall pay the Employee all of the Employee’s accrued and unused vacation through the Termination Date; and (iii) following submission of proper expense reports by the Employee, the Company shall reimburse the Employee for all expenses reasonably and necessarily incurred by the Employee in connection with the business of the Company prior to the Termination Date.
