Board and Committee Notice Requirement. In addition to any requirements specified in the By-Laws of the Company, the Company shall notify each Purchaser Designee and the Non-Voting Observer, by telecopy, of (a) every meeting (or action by written consent) of the Board of Directors and (b) every meeting (or action by written consent) of any Subsidiary Board and of any committee of the Board of Directors or Subsidiary Board, at least three days in advance of such meeting (or distribution of written consents), or, if such notice under the circumstances is not practicable, as soon before the meeting (or distribution) as is practicable.
