Ban on Smoking. Lessee understands that Lessor's ventilation system in the Building connects to more than one premises and/or to the Building's common areas, and that the City of El Segundo (through Municipal Code Section 6.24.030) bans tenants from smoking within their own premises whenever a landlord's ventilation system connects to more than one premises or to the Building's commons areas. Therefore, to prevent second-hand smoke from traveling through the Building's ventilation system and adversely affecting non-smoking tenants in other premises or common areas, Lessee agrees (1) that it will not permit any of Lessee's Employees to smoke in the Premises or anywhere within the Building, and (2) that it will implement reasonable measures to direct Lessee's Employees to smoke outside the Building.

Ban on Smoking. 1. States parties shall prohibit smoking on all flights carrying passengers operated by designated airlines. This prohibition shall apply to all locations within the aircraft and shall be in effect from the time an aircraft commences emplanement of passengers to the time deplanement is completed.

Lessee shall comply with all current and future federal, state, and local environmental and IAQ laws, regulations, and industry standards, including, without limitation, any restrictions on smoking in the workplace.

Notwithstanding the foregoing, this provision shall not prohibit any such transaction which is determined by the independent members of the Board of Directors of the Company, in their reasonable, good faith judgment (as evidenced by a Board Resolution filed with the Trustee) to be (a) in the best interests of the Company or such Restricted Subsidiary, and (b) upon terms which would be obtainable by the Company or a Restricted Subsidiary in a comparable arm's-length transaction with a Person which is not an Affiliate.
