Authorization; Binding Effect; Successors and Assigns. Each of the individuals executing this Agreement certifies that he or she is duly authorized to do so. The terms and provisions of this Agreement and the respective rights and obligations of the parties hereunder shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Any permitted assignee of this Agreement, including but not limited to an Affiliate of Anchor, shall, prior to such assignment furnish to the other party satisfactory evidence of such assignee's unconditional assumption of all liabilities and obligations of the applicable assignor.

Authorization; Binding Effect; Successors and Assigns. Each of the individuals executing this Agreement certifies that he or she is duly authorized to do so. This Agreement is binding upon, and the benefits hereof inure to, the parties hereto and their respective successors and assigns; provided that neither this Agreement nor any right or obligation under this Agreement may be assigned by either party without the written consent of the other party hereto, except that no consent is necessary for (i) an assignment by Anchor to an affiliate of Anchor this is owned, directly or indirectly, 100% by Anchor; or (ii) an assignment by Boston Beer to an affiliate of Boston Beer that is owned, directly or indirectly, 100% by The Boston Beer Company, Inc.; in either case, so long as the assigning party gives prompt written notice of such assignment to the other party. Any attempted assignment in violation of the provisions of this Section 19.3 will be void. Any permitted assignee of this Agreement, including but not limited to an affiliate of Anchor or Boston Beer, shall, prior to such assignment, furnish to the other party satisfactory evidence of such assignee’s unconditional assumption of all liabilities and obligations of the applicable assignor; provided that, notwithstanding such unconditional assumption, no such assignment shall relieve the assigning party of its financial obligations hereunder, including its indemnification obligations, if an assignee defaults in the performance of its assigned obligations.
