Audit Timing. Newmark shall use its reasonable best efforts to enable Newmark’s Auditors to complete their audit such that they will date their opinion on Newmark’s audited annual financial statements on the same date that BGC Partners’ independent certified public accountants (“BGC Partners’ Auditors”) date their opinion on BGC Partners’ audited annual financial statements (the “BGC Partners Annual Statements”), and to enable BGC Partners to meet its timetable for the printing, filing and public dissemination of the BGC Partners Annual Statements, all in accordance with Section 7.01 and as required by Applicable Law.
Audit Timing. Beginning with the 2017 fiscal year, the Company will use its best efforts to enable Company Auditors to complete their audit such that they will date their opinion on the Annual Financial Statements on the same date that Cellectis’ independent certified public accountants (“Cellectis Auditors”) date their opinion on the Cellectis Annual Statements, and to enable Cellectis to meet its timetable for the printing, filing and public dissemination of the Cellectis Annual Statements, all in accordance with Section 7.01(a) hereof and as required by applicable Law, provided that, if the Cellectis Annual Statements shall be dated as of a date such that compliance with this Section 7.02(b) would cause the Company to fail to timely comply with any filing requirement of the Commission, then the Company shall be permitted to cause the Company Auditors to date their opinion on such earlier date as may be required to achieve such compliance.
Audit Timing. WPX will use its commercially reasonable efforts to enable WPX’s Auditors to complete their audit such that they will date their opinion on the Annual Financial Statements on the same date that WMB’s independent certified public accountants (“WMB’s Auditors” ) date their opinion on WMB’s audited annual financial statements (the “WMB Annual Statements”), and to enable WMB to meet its timetable for the printing, filing and public dissemination of the WMB Annual Statements, all in accordance with Section 5.1(a) hereof and as required by applicable law.
Audit Timing. WhiteWave shall use commercially reasonable efforts to enable the WhiteWave Auditors to complete their audit such that they shall date their opinion on the Annual Financial Statements on the same date that Xxxx Foods’ independent certified public accountants (the “Xxxx Foods Auditors”) date their opinion on Xxxx Foods’ audited annual financial statements (the “Xxxx Foods Annual Statements”), and to enable Xxxx Foods to meet its timetable for the printing, filing and public dissemination of the Xxxx Foods Annual Statements, all in accordance with Section 5.1(a) hereof and as required by applicable Law.
Audit Timing. SunCoke shall use its best efforts to enable its independent auditors to complete their audit such that they will date their opinion on SunCoke’s audited annual financial statements on the same date that Sunoco’s independent certified public accountants (“Sunoco’s Auditors”) date their opinion on Sunoco’s audited annual financial statements (the “Sunoco Annual Statements”), and to enable Sunoco to meet its timetable for the printing, filing and public dissemination of the Sunoco Annual Statements, all in accordance with Section 6.1 hereof and as required by applicable law;
Audit Timing. Xxxx shall use its reasonable best efforts to enable Parent to meet its timetable for the printing, filing and public dissemination of Parent’s audited annual financial statements (the “Parent Annual Statements”), all in accordance with Section 6.1 hereof and as required by applicable Law.
Audit Timing. Centuri shall use its reasonable best efforts to enable Southwest to meet its timetable for the printing, filing and public dissemination of Southwest’s annual and quarterly financial statements, all in accordance with this Section 8.2 and as required by applicable Law.
Audit Timing. HXXX shall use commercially reasonable efforts to enable its independent auditors to complete their audit such that they will date their opinion on HXXX’x audited annual financial statements on the same date that HBIO’s independent certified public accountants (“HBIO’s Auditors”) date their opinion on HBIO’s audited annual financial statements (the “HBIO Annual Statements”), and to enable HBIO to meet its timetable for the printing, filing and public dissemination of the HBIO Annual Statements, all in accordance with Section 6.1 hereof and as required by applicable law;
Audit Timing. Freescale will use its commercially reasonable efforts to enable Freescale’s Auditors to complete their audit such that they will date their opinion on the Annual Financial Statements on the same date that Motorola’s independent certified public accountants (“Motorola’s Auditors”) date their opinion on Motorola’s audited annual financial statements (the “Motorola Annual Statements”), and to enable Motorola to meet its timetable for the printing, filing and public dissemination of the Motorola Annual Statements, all in accordance with Section 5.1(a) hereof and as required by applicable law.

Beginning with the 2013 fiscal year, the Company will use its reasonable best efforts to enable Company Auditors to complete their audit such that they will date their opinion on the Annual Financial Statements on the same date that Pfizer’s independent certified public accountants (“Pfizer Auditors”) date their opinion on the Pfizer Annual Statements, and to enable Pfizer to meet its timetable for the printing, filing and public dissemination of the Pfizer Annual Statements, all in accordance with Section 7.01(a) hereof and as required by applicable Law.
