Attorneys’ Fees, Etc. If either Party to this Agreement resorts to legal proceedings to enforce this Agreement, the prevailing Party in such proceedings shall be entitled to recover all costs incurred by such Party, including reasonable attorneys’ fees, in addition to any other relief to which such Party may be entitled. Notwithstanding anything to the contrary in this Agreement, in no event shall either Party be entitled to receive any punitive, indirect or consequential damages unless same are a part of a Third Party claim for which a Party is seeking indemnification hereunder, REGARDLESS OF WHETHER CAUSED OR CONTRIBUTED TO BY THE SOLE, JOINT, COMPARATIVE OR CONCURRENT NEGLIGENCE OR STRICT LIABILITY OF THE OTHER PARTY.

Attorneys’ Fees, Etc. If it shall be necessary for either party to place this Agreement in the hands of an attorney at law for enforcement of any of the provisions hereof, the non-prevailing party in such matter shall be liable to the prevailing party for all costs, expenses and reasonable attorney’s fees incurred in connection therewith, irrespective of whether suit shall be commenced.
