Assignment by the Operating Company. (a) Neither party hereto shall have no right, power or authority to assign or delegate this Agreement or any portion thereof, either voluntarily or involuntarily, or by operation of law, without the prior written consent of the other party, which consent may be granted or withheld in the sole discretion of such other party; provided, that (i) the Operating Company may assign its rights hereunder to an Affiliate of the Operating Company approved by the Department in accordance with the requirements of the ARCA, and (ii) Concessionaire may assign all of its rights and interests in and under this Agreement to the Lenders and the Collateral Agent as collateral security for its obligations. The Lenders and the Collateral Agent may further assign such rights without Operating Company’s consent thereto in connection with the exercise of remedies against the Concessionaire.

The Lenders and the Collateral Agent may further assign such rights without Operating Company’s consent thereto in connection with the exercise of remedies against the Concessionaire; and provided, further, that upon termination of this Agreement, this Agreement will be fully assignable by the Concessionaire to the Department at the election of the Department, such assignability to include the benefit of all of the Operating Company’s warranties, indemnities, guarantees and obligations of professional responsibility arising under this Agreement.

  • Assignment by Contractor With the prior written consent of DCYF’s Contract Administrator, which consent shall not be unreasonably withheld, the Contractor may assign this Contract including the proceeds hereof, provided that such assignment shall not operate to relieve the Contractor of any of its duties and obligations hereunder, nor shall such assignment affect any remedies available to DCYF that may arise from any breach of the sections of this Contract, or warranties made herein including but not limited to, rights of setoff.

  • Assignment by the Authority Notwithstanding anything to the contrary contained in this Agreement, the Authority may, after giving 60 (sixty) days' notice to the Concessionaire, assign and/ or transfer any of its rights and benefits and/or obligations under this Agreement to an assignee who is, in the reasonable opinion of the Authority, capable of fulfilling all of the Authority's then outstanding obligations under this Agreement.

Furthermore, neither the performance of this Contract nor any portion thereof may be assigned or sub-contracted by Contractor without the express written consent of County. Any attempt by Contractor to assign or sub-contract the performance or any portion thereof of this Contract without the express written consent of County shall be invalid and shall constitute a breach of this Contract.
