Appointment of Other Agents. At any time, in order to comply with any legal requirement in any jurisdiction, the Secured Party may appoint any bank or trust company or one or more other Persons, either to act as co-agent or co-agents, jointly with the Secured Party, or to act as separate agent or agents on behalf of the Secured Party, with such power and authority as may be necessary for the effective operation of the provisions hereof and may be specified in the instrument of appointment.
Appointment of Other Agents. The Board of Directors may appoint such other officers and agents as it shall deem necessary, who shall hold their offices for such terms and shall exercise such powers and perform such duties as shall be determined from time to time by the Board of Directors.
Appointment of Other Agents. Custodian may employ other suitable agents, which may include affiliates of Custodian such as Bear Xxxxxxx or BS Securities, both of which are securities broker-dealers, provided, however, that Custodian shall not employ either of such affiliates to hold any collateral pledged to the Company, or purchased by the Company, under any securities loan agreement or repurchase agreement (whether now or hereafter in effect) between the Company and such affiliate. The appointment of any agent pursuant to this Section 3.7 shall not relieve Custodian of any of its obligations or liabilities under this Agreement.
Appointment of Other Agents. Custodian may employ other suitable agents, which may include affiliates of Custodian such as Bear, Xxxxxxx & Co. Inc. ("Bear Xxxxxxx") or Bear, Xxxxxxx Securities Corp. ("BS Securities"), both of which are securities broker-dealers, provided, however, that Custodian shall not employ (a) BS Securities to hold any collateral pledged by BS Securities under the Master Securities Loan Agreement or any other securities loan agreement between the Trust and BS Securities, whether now or hereafter in effect, or (b) Bear Xxxxxxx to hold any securities purchased from Bear Xxxxxxx under the Master Repurchase Agreement or any other repurchase agreement between the Trust and Bear Xxxxxxx, whether now or hereafter in effect, and Custodian shall not employ any agent that would subject a Portfolio to any special audits or other requirements pursuant to Rule 17f-1 under the 1940 Act. The appointment of any agent pursuant to this Section 3.7 shall not relieve Custodian of any of its obligations or liabilities under this Agreement.

Appointment of Other Agents. Xxxxxxx.xxx or any of its affiliates shall have the right to appoint any other third party/parties as its agent(s) to perform any services similar or identical to the A&V Services.

Sub-Custodian may employ other suitable agents, which may include affiliates of Sub-Custodian such as Bear Stearns or BS Securities, both of which are securitixx xxxxer-dealers, provided, however, that Sub-Custodian shall not employ either of such affiliates to hold any collateral pledged to Customer, or purchased by Customer, under any securities loan agreement or repurchase agreement (whether now or hereafter in effect) between Customer, on the one hand, and such affiliate on the other hand. The appointment of any agent pursuant to this Section 3.6 shall not relieve Sub-Custodian of any of its obligations or liabilities under this Agreement. 3.7
Appointment of Other Agents. (a) At any time or times, in order to comply with any legal requirement in any jurisdiction, the Collateral Agent may appoint any bank or trust company or one or more other Persons, either to act as co-agent or co-agents, jointly with the Collateral Agent, or to act as separate agent or agents on behalf of the Second Lien Creditors, with such power and authority as may be necessary for the effectual operation of the provisions hereof and may be specified in the instrument of appointment. In so doing Collateral Agent may, in the name and on behalf of any Grantor, give to such co-agent or separate agent indemnities and other protections similar to those provided in Section 4.5.
