Amendments of Other Documents. Amend, modify, waive or supplement (or permit modification, amendment, waiver or supplement of) any of the terms or provisions of any Material Contract, in any respect which would materially and adversely affect the rights or interests of the Administrative Agent and the Lenders hereunder, in each case, without the prior written consent of the Administrative Agent.
Amendments of Other Documents. Amend, modify, waive or supplement (or permit the modification, amendment, waiver or supplement of) any of the terms or provisions of (i) the Bollore Distribution Agreements, the JJA Supply Agreement, the Swedish Match Agreement, or the Durfort Production Agreement, in each case, in any respect which would reasonably be expected to have a Material Adverse Effect or would materially and adversely affect the rights or interests of the Administrative Agent and the Lenders hereunder, without the prior written consent of the Required Lenders or (ii) any other Material Contract in any respect which would reasonably be expected to have a Material Adverse Effect or would materially and adversely affect the rights or interests of the Administrative Agent and the Lenders hereunder, without the prior written consent of the Administrative Agent.
Amendments of Other Documents. Amend, modify, waive or supplement (or permit modification, amendment, waiver or supplement of) any of the terms or provisions of the Management Agreement, the Intercompany Loan Agreement, the TGC Credit Agreement or any other Material Contract (other than the TGC Note Purchase Agreement and the documents related thereto), in any respect which would materially and adversely affect the rights or interests of the Administrative Agent and the Lenders hereunder, in each case, without the prior written consent of Required Lenders.
Amendments of Other Documents. Amend, modify or waive any of its rights under (a) any documentation governing any Subordinated Indebtedness or (b) its organizational documents, in each case, in any manner adverse to the Lenders.
Amendments of Other Documents. Amend, modify, waive or supplement (or permit modification, amendment, waiver or supplement of) any of the terms or provisions of any Material Contract, in any respect which would materially and adversely affect the rights or interests of the Administrative Agent and the Lenders hereunder, in each, without the prior written consent of the Administrative Agent. For purposes hereof, any amendment, modification, waiver or supplement to any Material Contract to permit the incurrence of, to establish the terms of, or to evidence Indebtedness otherwise permitted under Section 11.1 hereof, shall be deemed not to materially and adversely affect the rights or interests of the Administrative Agent or the Lenders.

None of the Borrower nor any of its Subsidiaries shall without the Agent’s advance written consent (which shall not be unreasonably withheld) amend, waive any obligation owed to the Borrower or any of its Subsidiaries under, or grant any consents under any Bond Document or any Intercompany Financing Document, in each case, in any way that is reasonably likely to be prejudicial to the interests of the Agent or the other holders of the Liabilities.

The Borrower shall not without the Agent's advance written consent (which shall not be unreasonably withheld) amend (or waive any obligation owed to the Borrower or NBC under) (a) any Bond Document or any Intercompany Financing Document, (b) in any material respect, any Bxxxxxx Beef Acquisition Document, (c) any document, instrument or agreement referenced in Section 2.1(g) of the Bond Pledge Agreement or any note, credit agreement or similar document, instrument or agreement relating to the property described in clauses (i), (j) and (n) of Section 10.3, (d) any indenture or other document, instrument or agreement relating to the Borrower's $160,000,000 10-1/2% Senior Notes due August 1, 2011 to shorten the maturity of, increase the rate of interest on or grant security or any Subsidiary guaranty for such notes or (e) the Water Services Agreement of even date herewith by and between the Borrower and the City, which constitutes a part of the Water Services Agreement (as defined in the Article I), in any way that is reasonably likely to be prejudicial to the interests of the Agent or the other holders of the Liabilities.
