Allocation of the Merger Consideration. Notwithstanding any other provision of this Agreement, in the circumstances described below in this Section 1.7, the Merger Consideration shall be allocated as provided below in this Section 1.7:

Allocation of the Merger Consideration. The Seller and Buyer agree that the Merger shall be treated as a purchase of assets for federal income tax purposes and Seller and Buyer shall reach agreement on a methodology for completing a copy of IRS Form 8594 and any required exhibits thereto with the proposed allocation of the consideration payable hereunder (the “Allocation Statement”). After the Closing, the Seller and the Buyer shall cooperate in good faith to prepare the Allocation Statement as soon as practicable based upon the agreed upon methodology; provided that if Buyer and the Seller are unable to agree to the Allocation Statement within 30 days following the Closing Date, the Allocation Statement shall be determined conclusively by the Independent Accounting Firm. The fees of the Independent Accounting Firm incurred in preparing the Allocation shall be paid by Buyer and Seller in equal shares. The allocation reflected on the Allocation Statement is intended to comply with and shall be made in accordance with the allocation method required by Section 1060 of the Code. The Buyer and the Seller, as the case may be, shall (i) each report the federal, state, local and other tax consequences of the transactions contemplated herein (including the filing of IRS Form 8594) in a manner consistent with such Allocation Statement (including with respect to any adjustment to any item of consideration or any asset) and (ii) take no position in any tax filing, return, proceeding, audit or otherwise which is inconsistent with the Allocation Statement.

Allocation of the Merger Consideration. The Parties shall agree upon an allocation of the Merger Consideration prior to the Closing Date. The Parties shall report the transaction as an asset acquisition by the Buyer consistently with the allocation as provided for in this Section 2.6 on all Tax Returns (including IRS Form 8594, Asset Acquisition Statement).
Allocation of the Merger Consideration. (a) The Merger Consideration shall be allocated among the assets acquired by Purchaser in the Merger in accordance with Section 1060 of the Code, as agreed and set forth by Parent, Purchaser, Seller and Company in IRS Form 8594, Asset Acquisition Statement Under Section 1060 (the “Purchase Price Allocation”), to be completed at or prior to Closing. Any payment made under Sections 7.2, 7.3 or 7.4 shall be treated by as an adjustment to the Merger Consideration unless a determination (as defined in §1313 of the Code) with respect to the indemnitee causes any such payment not to constitute an adjustment to the Merger Consideration for federal income tax purposes. In the event of an adjustment to the Merger Consideration as a result of a payment made under Sections 7.2, 7.3 or 7.4 or otherwise, the parties hereby agree to amend the Purchase Price Allocation in accordance with Section 1060 of the Code. If the parties are unable to agree upon the Purchase Price Allocation as of Closing, or to any amendments to the Purchase Price Allocation after Closing, an independent reputable accounting firm mutually agreeable to both parties or, if necessary, appointed by a judge in the Court of Common Pleas of Lancaster County, Pennsylvania, will make a binding determination of the Purchase Price Allocation in accordance with Section 1060 of the Code. The fees and expenses of the independent accounting firm incurred pursuant to this Section shall be borne equally by Seller and Purchaser.

Any former shareholders of CBC who have not theretofore complied with Section 3.02(c) shall thereafter look only to Surviving Corporation for the consideration deliverable in respect of each share of CBC Common Stock such shareholder holds immediately prior the Effective Time as determined pursuant to this Agreement without any interest thereon. If outstanding Certificates or Book-Entry Shares are not surrendered or the payment for them is not claimed prior to the date on which such shares of SCB Common Stock would otherwise escheat to any Governmental Entity, the unclaimed items shall, to the extent permitted by abandoned property and any other applicable Law, become the property of the Surviving Corporation (and to the extent not in its possession shall be delivered to it), free and clear of all claims or interest of any Person previously entitled to such property. Neither the Exchange Agent nor any party to this Agreement shall be liable to any holder of stock represented by any Certificate or Book-Entry Share for any consideration paid to a public official or Governmental Entity pursuant to applicable abandoned property, escheat or similar Laws. SCB and the Exchange Agent shall be entitled to rely upon the stock transfer books of CBC to establish the identity of those Persons entitled to receive the consideration specified in this Agreement, which books shall be conclusive (absent manifest error) with respect thereto. In the event of a dispute with respect to ownership of shares of stock represented by any Certificate or Book-Entry Share, SCB and the Exchange Agent shall be entitled to deposit any consideration represented thereby in escrow with an independent third party and thereafter be relieved with respect to any claims thereto.

  • Adjustment of Merger Consideration If, subsequent to the date of this Agreement but prior to the Effective Time, the outstanding shares of Common Stock shall have been changed into a different number of shares or a different class as a result of a stock split, reverse stock split, stock dividend, subdivision, reclassification, split, combination, exchange, recapitalization or other similar transaction, the Merger Consideration shall be appropriately adjusted.

  • Payment of Merger Consideration (a) As soon as reasonably practicable after the Effective Time, the Surviving Entity (or its successor in interest) shall deliver to each holder of SPE LLC Interests whose SPE LLC Interests have been converted into the right to receive the Merger Consideration pursuant to Section 1.05(b) hereof, the Merger Consideration payable to such holder in the amounts and form provided in Section 1.05(b) hereof.
