Affiliates; Control. As used in this Agreement, "Affiliate" of any Entity means any person or Entity which directly or indirectly through one or more intermediaries Controls, is Controlled by, or is under common Control with the specified Entity. "Control" means the ownership of a majority of the equity or the ability to appoint or elect a majority of the board of directors or similar governing body (by reason of equity ownership, contract or otherwise) of an Entity.
