Additional Sewer Infrastructure. The City hereby agrees that in the event a new Lift Station, Force Main and/or Gravity Relief Mains are required to provide adequate Sewer Service to land other than the lots to be platted on the Property, the design, engineering, construction, installation and maintenance of said Lift Station, Force Main and/or Gravity Relief Mains will be the sole responsibility of the City. Owner commits to grant a thirty (30) foot water and sanitary sewer utility easement (Exhibit J) to the City adjacent to FM 156 within ninety (90) days of the execution of this Agreement. Owner shall dedicate said water and sanitary sewer easement in lieu of Landscape Planting along FM 156 that may be required for any future use on the Eastern boundary of the Commercial Tract on the Property. Owner does reserve the right to place landscape within the easement. Should the City not be able to provide adequate Sewer Service to the Property, the Owner reserves the right to engineer and construct the necessary Sanitary Sewer Expansion to provide adequate service to the Property. Furthermore, the City agrees to reimburse the Owner for approved costs related to any oversizing for engineering and constructing the Sanitary Sewer Expansion, which approval shall not be unreasonably be withheld.

  • Infrastructure (a) The Borrower has and will maintain a sufficient infrastructure to conduct its business as presently conducted and as contemplated to be conducted following its execution of this Agreement.

In the event that a Party invokes the dispute resolution provisions identified in Section 15 with respect to the transfer of Operational Control over a facility, such facility shall not be transferred while the dispute resolution process is pending except pursuant to Section 4.5.2.

  • Critical Infrastructure Subcontracts For purposes of this Paragraph, the designated countries are China, Iran, North Korea, Russia, and any countries lawfully designated by the Governor as a threat to critical infrastructure. Pursuant to Section 113.002 of the Business and Commerce Code, Contractor shall not enter into a subcontract that will provide direct or remote access to or control of critical infrastructure, as defined by Section 113.001 of the Texas Business and Commerce Code, in this state, other than access specifically allowed for product warranty and support purposes to any subcontractor unless (i) neither the subcontractor nor its parent company, nor any affiliate of the subcontractor or its parent company, is majority owned or controlled by citizens or governmental entities of a designated country; and (ii) neither the subcontractor nor its parent company, nor any affiliate of the subcontractor or its parent company, is headquartered in a designated country. Contractor will notify the System Agency before entering into any subcontract that will provide direct or remote access to or control of critical infrastructure, as defined by Section 113.001 of the Texas Business & Commerce Code, in this state.
