Borrower’s Attorney’s Opinion. The opinion of Borrower's legal counsel that with respect to the Borrower, the Land, and the Project: (a) there is no threatened or pending litigation that might affect the Loan, the Land, the Project or the Borrower; (b) the transactions contemplated by this Agreement do not violate any provision of any law, restriction or other document affecting the Borrower, the Land, or the Project; (c) the Loan Documents have been duly executed and delivered, constitute legal, valid and binding obligations of the Borrower and are enforceable in accordance with their terms; (d) Borrower is a validly organized and existing limited liability company under the laws of the State of Delaware and qualified to do business in the State of Oklahoma, that Borrower has the legal capacity to own, develop and operate the Land and the Project, and has the legal capacity to perform its obligations under the Loan Documents, and that the Loan has been duly authorized by the Borrower, (e) the individuals executing the Loan Documents are properly authorized to do so on behalf of Borrower, (f) such other matters (including an opinion with respect to zoning of the Land and the Project) concerning the Loan, the Loan Documents, and the Land, the Project, and the Borrower, as the Lender or its counsel may require.
