Closing Certificate; Certified Certificate of Incorporation; Good Standing Certificate. The Administrative Agent shall have received (i) a certificate of each of the Parent, the Borrower and Man UK, dated the Effective Date, substantially in the form of Exhibits D-1 and D-2, with appropriate insertions and attachments, including the certificate of incorporation of the Parent, the Borrower and Man UK certified by the relevant authority of the jurisdiction of its organization, and (ii) a long form good standing certificate for the Parent, the Borrower and Man UK from its jurisdiction of organization.
