Common use of DELIVERY Clause in Contracts

DELIVERY. 3.1 The delivery of the Products shall be made by MUNTERS ITALY S.P.A. to the Seller’s site in accordance with Incoterms of the International Chamber of Commerce, as in force at the date of the execution of the Agreement within the delivery time specified in the Agreement. 3.2 The transfer of the risks to the Purchaser shall take place in accordance with the Incoterms provisions. For the sake of clarity, the Seller, shall not be liable under any circumstances for any deterioration or damage to the goods which occurred after the transfer of the risks and the Purchaser shall not be released from the obligation to pay the Consideration under any circumstances if the deterioration or the destruction of the Products occurs subsequent to the transfer of the risk. 3.3 Any delivery terms of the Products, specified by MUNTERS ITALY S.P.A., shall be deemed as merely indicative and not binding, and subject to change due to problems or, in any event, delays of any kind in the delivery of the Products by MUNTERS ITALY S.P.A.. The Seller shall not be liable to the Purchaser for late delivery for any reason. 3.4 The Purchaser shall communicate to the Seller, with a prior notice period of 10 (ten) working days from the delivery date, any and all necessary specifications for the delivery of the Products (such as, by way of example and without limitation, the general consegna i Prodotti e l’orario di consegna). 3.5 Su richiesta scritta del Compratore, il Venditore potrà decidere di provvedere, a spese del Compratore, alla spedizione dei Prodotti dallo stabilimento di cui al paragrafo 3.1 al luogo indicato dal Compratore nella menzionata richiesta. In tal caso, il Venditore provvederà a stipulare, a spese del Compratore, apposita polizza assicurativa per i danni che dovessero eventualmente derivare ai Prodotti durante il trasporto dei medesimi ai sensi del presente paragrafo. Ai soli fini di chiarezza, in caso di consegna dei prodotti ai sensi del presente paragrafo il passaggio di rischi al compratore avverrà comunque ai sensi dei precedenti paragrafi 3.1 e 3.2. 3.6 Il Compratore è sempre tenuto a prendere in consegna i Prodotti, anche in caso di consegne parziali ed anche quando la merce venga consegnata prima o successivamente alla data di consegna stabilita nel Contratto (fermo restando che il Venditore dovrà aver comunicato al Compratore la nuova data di consegna con un preavviso di 5 (cinque) giorni lavorativi). Qualora il Compratore non abbia tempestivamente preso in consegna i Prodotti, per cause non imputabili al Venditore, il Compratore sopporterà tutte le spese, costi ed oneri che dovessero essere sopportati dal Venditore in relazione a detta mancata presa in consegna (ivi incluse le spese per la custodia e conservazione delle Prodotti). 3.7 L’obbligo di consegna dei Prodotti da parte di MUNTERS ITALY S.P.A. al Compratore è sospensivamente condizionato, ai sensi e per gli effetti di cui all’articolo 1353 del Codice Civile, al information of the carrier which shall deliver the Products and the delivery time). 3.5 Upon written request of the Purchaser, the Seller may provide, at the Purchaser’s expense, for the delivery of the Products from the site indicated in paragraph 3.1 above, to the place indicated by the Purchaser on the abovementioned written request. In such a case, the Seller will execute, at the Purchaser’s expense, a specific insurance policy for any damages to the Products which may arise during the transport of the same in accordance with this paragraph. For the avoidance of doubt, in case of delivery of the Products in accordance with this paragraph, the transfer of the risks to the Purchaser shall nonetheless take place in accordance with paragraphs 3.1 and 3.2 above. 3.6 The Purchaser is always required to take delivery of the Products, even in case of partial deliveries, as well as when the Products are delivered before or subsequent to the delivery date set forth in the Agreement (provided that the Seller must have communicated to the Purchaser the new delivery date with a prior notice period of 5 (five) working days). If the Purchaser does not promptly take delivery of the Products, due to circumstances not attributable to the Seller, the Purchaser shall bear all the costs, expenses and charges that may be incurred by Seller in relation to such failure to take delivery (including the expenses for the custody and preservation of the Products). 3.7 MUNTERS ITALY S.P.A.’s obligation to deliver the Products to the Purchaser is conditioned on, pursuant to and by effects of article 1353 of the Italian Civil Code, the timely fulfillment by the tempestivo adempimento da parte del Compratore del pagamento di ogni e qualsiasi importo che il Compratore sia eventualmente tenuto, ai sensi del Contratto, a effettuare prima della data di consegna dei Prodotti. 3.8 Per chiarezza, fatto salvo ogni diritto o rimedio applicabile ai sensi di legge o di Contratto MUNTERS ITALY S.P.A. non sarà in alcun modo tenuta ad effettuare la consegna dei Prodotti qualora il Compratore si sia reso inadempiente ad alcuno degli obblighi di cui al precedente paragrafo. 3.9 Fermo tutto quanto precede, il Compratore sarà esclusivamente responsabile dell’ottenimento, a proprio rischio e spese, di ogni e qualsiasi permesso o autorizzazione (ivi incluso, senza limitazione, ogni e qualsiasi permesso all’importazione) che sia applicabile o che si renda necessario al fine di trasportare i Prodotti presso il proprio stabilimento nonché a corrispondere ogni e qualsiasi dazio, tassa o onere di qualsiasi genere sia eventualmente dovuto a tal fine.
