APPENDICES Appendix 1 : Mangopay payment services framework contract Appendix 2: Template of Terms and Conditions for sale of products The company RUE DU COMMERCE operates an online sales website with a two-fold activity: - Direct distribution of an extensive catalogue of Products to end customers; - Management of an internet hosting platform (Marketplace) on which independent retailers distribute their own product catalogues (hereafter “La Galerie”). La Galerie is an online version of a shopping centre where distributors from different sectors come to stock their individual sales areas. In ▇▇▇▇, ▇▇▇ ▇▇ ▇▇▇▇▇▇▇▇ was the first major French internet company to have introduced the Marketplace concept to France. Over the years, it has developed real expertise that it now makes available to its Merchant Partners. Eligibility criteria have therefore been established in order to select high quality Merchant Partners that offer the end customer every assurance regarding the services provided. The Merchant Partner seeks to benefit from a sales area in La Galerie to market its offers and contribute to the development of the La Galerie model in compliance with existing concepts and processes. The Merchant Partner is aware that the reputation of La Galerie is directly dependent on the quality of the offers presented by and of the investment of Merchant Partners being to the customer’s satisfaction. In this respect, the Merchant declares it has the necessary resources to ensure due performance of the obligations arising from these Terms and Conditions. RUE DU COMMERCE has implemented a new interface and management system for its Shopping Gallery using the full functionality of the MIRAKL Marketplace management solution. It is this information system and its interfaces that will be used by the Merchant Partners, via their MIRAKL Boutique. These Terms and Conditions are intended to describe the arrangements relating to the collaboration between RUE DU COMMERCE and the Merchant Partner. The Merchant Partner acknowledges having read the Terms and Conditions and expressly declares unreserved acceptance thereof by ticking the appropriate box when registering on La Galerie or by logging on to his MIRAKL Shop. These Terms and Conditions shall only apply after definitive confirmation of the Merchant Partner’s eligibility to join La Galerie under the conditions set out in Article 2.2. The French version of these Terms and Conditions prevails over the English one.
Contractual documents. These Terms and Conditions are supplemented by the following documents:
Contractual documents. Orange Business Services provides the Service in accordance with these general conditions. The Applications are subject, where appropriate, to Specific Conditions which supplement these. In the event of any contradiction between the provisions hereof and those of the Specific Conditions, the latter shall prevail. The Customer cannot therefore rely on any stipulation of their own general and / or specific conditions, correspondence and / or previous commercial proposals relating to the same subject as that hereof.
Contractual documents. These general terms and conditions for sale, as well as the particular terms and conditions agreed by the two parties constitute an integral part of the contract. The Supplier's technical specifications constitute the technical basis of contracts unless otherwise specifically agreed.
Contractual documents. The following documents that are in the possession of the Contracting Party form the Contract : - the Contract signed by NEO-TECH and the Contracting Party or the purchase order accepted by the Contracting Party in compliance with article 2.2., including all its annexes ; - these standard terms and conditions of purchase ; - when appropriate, the list of unit prices as lump sum prices, if it is not included in the documents of the Contract. In case of difficulties of interpretation or contradiction between the Contractual Documents, each one shall prevail over the next according to the order wherein they are listed in the Contract or the Order and in the absence of such listing, in the order mentioned hereunder. In case of difficulties of interpretation between the Contractual Documents and its addendums and annexes, the main document shall prevail. The documents exchanged between NEO-TECH and the Contracting Party after the date of Conclusion of the Contract shall never prevail over the provisions of the latter, nor supplement the latter. They can only be relied upon to clarify the provisions of the Contract that are open to several interpretations. The documents referred to as being « in the possession of the Contracting Party » in a Contractual Document, are deemed to be in the possession of the Contracting Party. It is the responsibility of the Contracting Party to ask NEO-TECH to provide it with a copy of those documents if there are not in its possession. Contractual documents. 1.1. The contract for the sale of Products concluded between Lilliputiens and the Distributor (hereinafter referred to as the "Contract") is made up of the following parts:
(1) the Specific Terms and Conditions of the Contract (stipulated on the sales contract or the purchase order);
(2) The General Terms and Conditions of Sale;
(3) The prices.
1.2. In the event of a contradiction or incoherence between the contractual documents, the Specific Terms and Conditions shall prevail over the General Terms and Conditions. The order of priority shall therefore be the order of the list above (point 1.1).
Contractual documents. The Contract constitutes the entirety of the Supplier's and the IRT's commitments with respect to the Purchase. It cancels and replaces all previous exchanges, commitments and agreements relating to the Purchase.
Contractual documents. The International Sivananda Yoga Vedanta Centre will send the trainee a professional training agreement (if the training is paid for by a third party other than the trainee) or a contract drawn up in accordance with articles L6353-1 and L6353-2 of the French Labour Code. The trainee undertakes to return a signed copy to the International Sivananda Yoga Vedanta Centre as soon as possible, bearing his or her commercial stamp or signature, if contracted. A certificate of attendance can be sent to the trainee on request.
Contractual documents. The Contract concluded between the seller and the buyer constitutes the entire agreement between the parties and supersedes any prior written or oral agreements and understandings between the parties with respect to the purpose of the Contract. The Contract comprises the following documents : • the written contract signed by both parties, • the acknowledgement of receipt of the order form, • the present General Sales Terms and Conditions attached to the contract or included in the acknowledgement of receipt of the order form, • the order form, • the schedule of conditions, •the technical specifications of the products. In case of discrepancy or conflict between the above contractual documents, they shall rank in the order of priority indicated above.
