Xxxxxxxx Transaction means any transaction (including any transaction involving the incurrence of Indebtedness for borrowed money, regardless of the use of any proceeds with respect to such Indebtedness) as a result of which the Consolidated First Lien Net Leverage Ratio (calculated on a pro forma basis to give effect to such transaction, including any Indebtedness incurred or repaid in connection therewith (but excluding the cash proceeds of any Indebtedness incurred in connection therewith)) is higher than the Consolidated First Lien Net Leverage Ratio immediately prior to giving effect to such transaction.
