Xxxxxxxx Family Entity means any trust or entity one hundred percent (100%) owned and controlled by or established for the sole benefit of, or the estate of, any of Xxxxx X. Xxxxxxxx III or Xxxxxxx X. Xxxxxxxx or their spouses or lineal descendants (including, without limitation, adopted children and their lineal descendants).

Xxxxxxxx Family Entity means any Person that is directly or indirectly controlled or beneficially owned by any of Messrs. Xxxxxx Xxxxxxxx Xxxx, Xxxxxxx Xxxxxxxx Xxxx and Xxxxx Xxxxxxxx Xxxx, or any descendant of such individuals, or the descendants of Xxxxxx Xxxxxxxx. For purposes of this definition, "controlled" when used with respect to any Person means the power to direct or cause the direction of the management and policies of such Person, whether through ownership of voting securities, by contract or otherwise.
