Veralto Group definition

Veralto Group means Veralto and each Person that is a direct or indirect Subsidiary of Veralto as of the Effective Time (but after giving effect to the Internal Reorganization), and each Person that becomes a Subsidiary of Veralto after the Effective Time.

  • Upon expiration or termination of the rights granted to the Veralto Group pursuant to this Section 4.2, Veralto hereby assigns, and shall cause the other members of the Veralto Group to assign, to Xxxxxxx their rights (if any) to any Trademarks forming a part of or associated with the Xxxxxxx Retained Names.

  • At any time after the Distribution Date that the Xxxxxxx Group proposes to destroy such records or documents, it shall first notify the Veralto Group in writing and the Veralto Group shall be entitled to receive such records or documents proposed to be destroyed.

  • No member of either the Veralto Group or the Xxxxxxx Group shall have any continuing rights or obligations under any such agreement.

  • Any use by the members of the Veralto Group of any of the Xxxxxxx Retained Names as permitted in this Section 4.2(a) is subject to their use of the Xxxxxxx Retained Names in a form and manner, and with standards of quality, of that in effect for the Xxxxxxx Retained Names as of the Distribution Date.

  • At any time after the Distribution Date that the Veralto Group proposes to destroy such records or documents, it shall first notify the Xxxxxxx Group in writing and the Xxxxxxx Group shall be entitled to receive such records or documents proposed to be destroyed.

  • Veralto and the members of the Veralto Group shall not use the Xxxxxxx Retained Names in a manner that may reflect negatively on such name and marks or on Xxxxxxx or any other member of the Xxxxxxx Group.

  • This Agreement is solely for the benefit of the Parties and, except to the extent otherwise expressly provided herein, nothing in this Agreement, express or implied, is intended to confer any rights, benefits, remedies, obligations or Liabilities under this Agreement upon any Person, including any Veralto Employee or other current or former employee, officer, director or contractor of the Xxxxxxx Group or Veralto Group, other than the Parties and their respective successors and assigns.

  • Except as provided in this Section 2.13, all Cash Equivalents held by any member of the Veralto Group as of the Effective Time shall be an Veralto Asset and all Cash Equivalents held by any member of the Xxxxxxx Group as of the Effective Time shall be a Xxxxxxx Retained Asset.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Faculty Member means any person hired by the college or District to conduct classroom or teaching activities or who is otherwise considered by the college to be a member of faculty.

  • CBS shall have the meaning set forth in the Preamble.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • GVWR means gross vehicle weight rating.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Forest means an area of land defined by the minimum values for area size, tree crown cover or an equivalent stocking level, and potential tree height at maturity at the place of growth of the trees as specified for each Member State in Annex II. It includes areas with trees, including groups of growing, young, natural trees, or plantations that have yet to reach the minimum values for tree crown cover or an equivalent stocking level or minimum tree height as specified in Annex II, including any area that normally forms part of the forest area but on which there are temporarily no trees as a result of human intervention, such as harvesting, or as a result of natural causes, but which area can be expected to revert to forest;

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Dean means the head of a faculty of the University;

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Company Group means the Company and its Subsidiaries.

  • CHS means Code Xxxxxxxx & Xxxxxxx IV LP, a Delaware limited partnership.

  • Topcoat means a coating that is applied over a primer on an aerospace vehicle or component for appearance, identification, camouflage, or protection. Topcoats that are defined as specialty coatings are not included under this definition.

  • Partnership Group Member means any member of the Partnership Group.

  • SpinCo shall have the meaning set forth in the Preamble.
