At the Effective Time, the articles of incorporation and bylaws of Purchaser (as in effect immediately prior to the Effective Time) will become the articles of incorporation and bylaws of the Surviving Corporation until thereafter amended in accordance with their respective terms and the Utah Act.
This environmental covenant may be amended or terminated pursuant to the Utah Act.
Subject to the provisions of this Agreement, at the Closing, ARNEVUT, XXXXXX XX and Merger Sub will cause a Statement of Merger (the “Colorado Statement of Merger”) to be executed, acknowledged and filed with the Secretary of State of the State of Colorado, and Articles of Merger (the “Utah Articles of Merger”) to be executed, acknowledged and filed with the Utah Division of Corporations and Commercial Code in accordance with the relevant provisions of the CBCA and the Utah Act.
