UPD IPR definition

UPD IPR means all UPD Patent Rights, copyrights, trade secrets, and all other intellectual property rights (except trademarks, tradenames, and Internet domain names) owned, controlled by, or licensable by UPD, including without limitation all software, know-how, mask works, designs, specifications, drawings, scientific, engineering, manufacturing or technical information, whether or not patentable or copyrightable, in the lawful possession of UPD, and any further enhancements, modifications, and variations thereof, conceived, developed or produced by employees or agents of UPD during the Term of this Agreement and/or pursuant to the Subcontract(s).

Examples of UPD IPR in a sentence

  • Within ninety (90) days following execution the Escrow Agreement, UPD agrees to place in escrow, via deposit, all UPD IPR relating to TMOS Display Technology, including that required for manufacturing and software source Code that is required for LOCKHEED XXXXXX to be able to use, modify, make or have made Licensed Products.

  • For the purposes of this Article 6 of this Agreement the parties agree that the “taking” of UPD IPR that would form the basis of a “takings case” under 28 U.S.C. Section 1498 shall be regarded as act of infringement and that such a takings case will be regarded as a suit for infringement.

  • During the Term of this Agreement, UPD’s patent applications filed on UPD IPR will automatically be added to UPD IPR licensed to LOCKHEED XXXXXX.

  • Foreground IPR means any IPRs that are generated as a result of the activities conducted within the framework of the Project concerned as specified in the corresponding Project Agreement;

  • Licensed IP means the Licensed Patents and the Licensed Know-How.

  • IPR means all patents, utility models, identification marks including trade marks, trade names, service marks, domain names, rights to prevent passing off, registered designs, design rights, copyrights, database rights, topography rights, confidential information for any of the aforementioned (including data, know-how and formulations) and any applications for any of the aforementioned and any similar right recognised from time to time with all rights of action for infringement in all countries in the world, together with all renewals and extensions

  • Developed IP means IP developed by BNY Mellon pursuant to the Agreement that is (a) a modification or enhancement of the Voya IP or (b) an original non-derivative work that is specifically identified as “Developed IP” in a statement of work or similar agreement executed by both Parties under the Agreement.

  • Licensed IP Rights means, collectively, the Licensed Patent Rights and the Licensed Know-How Rights.

  • Background IPR means any Intellectual Property Rights (other than Project IPR) belonging to either party before the Commencement Date or not created in the course of or in connection with the Project;

  • Foreground IP means all intellectual property and Intellectual Property Rights generated under these Terms; and

  • Licensor Technology means the Licensor Patents and the Licensor Know-How.

  • Intellectual Property Rights (IPR) (11/18) means any patent rights, copyrights, trade secrets, trade names, service marks, trademarks, trade dress, moral rights, know-how and any other similar rights or intangible assets to which rights of ownership accrue, and all registrations, applications, disclosures, renewals, extensions, continuations, or reissues of the foregoing now or hereafter in force. “Key Personnel” (11/18) means the specific individuals identified in Section 3.11 to fill Key Positions.

  • CREFC® Intellectual Property Royalty License Fee With respect to each Mortgage Loan (including any REO Mortgage Loan) and for any Distribution Date, the amount accrued during the related Interest Accrual Period at the CREFC® Intellectual Property Royalty License Fee Rate on, in the case of the initial Distribution Date, the Cut-Off Date Balance of such Mortgage Loan and, in the case of any subsequent Distribution Date, the Stated Principal Balance of such Mortgage Loan as of the close of business on the Distribution Date in the related Interest Accrual Period; provided that such amounts shall be computed for the same period and on the same interest accrual basis respecting which any related interest payment due or deemed due on the related Mortgage Loan is computed and shall be prorated for partial periods. For the avoidance of doubt, the CREFC® Intellectual Property Royalty License Fee shall be payable from the Lower-Tier REMIC.

  • Licensed Patents means (a) all United States patents and patent applications listed in Exhibit A, as modified pursuant to Section 2.6.1, including patents arising from such patent applications; and (b) any re-examination certificates thereof, and their foreign counterparts and extensions, continuations, divisionals, and re-issue applications; provided that “Licensed Patents” will not include any claim of a patent or patent application covering any Manufacturing Technology.

  • Collaboration IP means Collaboration Know-How and Collaboration Patents.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Joint Intellectual Property Rights means any work under the Subcontract, which:

  • Joint IP means Joint Know-How and Joint Patents.

  • Joint Intellectual Property means, collectively, Joint Know-How and Joint Patents.

  • Foreground Intellectual Property means all Intellectual Property developed by either Party pursuant to this Agreement;

  • Licensee Patents means all patent applications and patents Controlled by Licensee that claim (a) [***], or (b) [***].

  • Intellectual Property License Agreement means the license agreement with respect to certain Excluded Intellectual Property, substantially in the form of Exhibit B attached hereto.

  • CREFC® Intellectual Property Royalty License Fee Rate With respect to each Mortgage Loan, a rate equal to 0.0005% per annum.

  • Licensed Intellectual Property means Intellectual Property licensed to the Company pursuant to the Company IP Agreements.

  • Collaboration Patents means any and all Patents that claim or cover any of the Collaboration Know-How.

  • Licensed Technology means the Licensed Patents and the Licensed Know-How.

  • Licensed Intellectual Property Rights means any Intellectual Property Rights owned by a third party that a Person has a right to use, exploit or practice by virtue of a license grant, immunity from Legal Action or otherwise.

  • Company Licensed Intellectual Property means all Intellectual Property that is licensed to the Company by any third party.

  • Company Licensed IP means all Intellectual Property rights owned or purported to be owned by a third party and licensed to the Company or any Company Subsidiary or to which the Company or any Company Subsidiary otherwise has a right to use.
