Unvested Equity Award definition

Unvested Equity Award has the meaning given to such term in Section 6(a).
Unvested Equity Award means any Equity Award that is not a Vested Equity Award.
Unvested Equity Award means, each outstanding equity or equity-based award under the Long-Term Incentive Plan held by Executive as of Executive’s Termination Date occurring pursuant to Section 4(c) or Section 4(d) that is not otherwise vested (and, if applicable, exercisable) as of the applicable Termination Date.

  • Forfeiture of the underlying Unvested Equity Award results in forfeiture of the right to receive the associated Earnout Shares.

Unvested Equity Award means any Unvested Company Option, Company Option Commitment or Unvested Company Capital Stock outstanding immediately prior to or upon the occurrence of the Merger at the Effective Time.
Unvested Equity Award has the meaning specified in Section 3.5(c).

Related to Unvested Equity Award

  • Company Equity Award means a Company Stock Option or a Company Stock Award or a phantom stock award, as the case may be.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Company Equity Awards means the Company Options and the Company RSUs.

  • Restricted Stock Award means an award of shares of Common Stock which is granted pursuant to the terms and conditions of Section 6(a).

  • RSUs means restricted stock units.

  • Company RSU Award means each restricted stock unit that is (i) subject solely to service-based vesting and (ii) payable in shares of Company Class A Common Stock or the value of which is determined with reference to the value of shares of Company Class A Common Stock.

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Restricted Share Award means an award of Restricted Shares.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.
