Unsubscribed New Securities definition

Unsubscribed New Securities has the meaning set forth in Section 3.3.
Unsubscribed New Securities shall have the meaning ascribed to it in Article 7.1.4.

Examples of Unsubscribed New Securities in a sentence

  • If the Company has not completed the sale of the Unsubscribed New Securities in accordance with the foregoing sentence, the Company shall provide a new Offer Notice to the Shareholder on the terms and provisions set forth in Section 3.2.

  • If the Company (i) proposes to issue and allot the Unsubscribed New Securities to third parties on terms and conditions more favourable than those stated in the Subscription Notice, or (ii) chooses not to issue and allot the Unsubscribed New Securities, the Company shall serve notices to all Shareholders in respect of the subscription of the Unsubscribed New Securities following the procedures prescribed in Articles 3.3 and 3.4.

  • If Outlook has not completed the sale of the Unsubscribed New Securities in accordance with the foregoing sentence, Outlook shall provide a new Offer Notice to Syntone on the terms and provisions set forth in Section 7.3.

Related to Unsubscribed New Securities

  • New Securities means, collectively, equity securities of the Company, whether or not currently authorized, as well as rights, options, or warrants to purchase such equity securities, or securities of any type whatsoever that are, or may become, convertible or exchangeable into or exercisable for such equity securities.

  • Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.

  • Offering Shares means the Class A Shares sold in the Offering, whether such Class A Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are affiliates of the Sponsor.

  • Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.

  • Offered Securities shall have the meaning specified in Section 5.03(b)(ii)(B).

  • Available Securities means the securities of the Funds that are available for Loans pursuant to Section 3.

  • New Secured Notes means the $550 million of first lien secured notes to be issued by New Valaris Holdco comprising (i) the Rights Offering New Secured Notes to be issued in the Rights Offering on the terms set forth in the New Secured Notes Term Sheet attached as Exhibit 2 to the Restructuring Term Sheet and the Rights Offering Procedures, (ii) the Holdback Notes to be issued on the terms set forth in the Backstop Agreement,

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Refused Securities has the meaning ascribed to such term in Section 4.1(c)

  • Offerees has the meaning set forth in Section 5.4(a).

  • Eligible Securities means those securities which are identified as permissible securities for a particular Transaction Category.

  • Offer Shares means the Hong Kong Offer Shares and the International Offer Shares being offered at the Offer Price under the Global Offering together with any additional Shares to be issued pursuant to the exercise of the Over-Allotment Option;

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Offered Interests has the meaning set forth in Section 8.5(a).

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • New Securities Trustee means a bank or trust company reasonably satisfactory to the Initial Purchasers, as trustee with respect to the New Securities under the New Securities Indenture.

  • Ineligible Securities means securities which may not be underwritten or dealt in by member banks of the Federal Reserve System under Section 16 of the Banking Act of 1933 (12 U.S.C. Section 24, Seventh), as amended.

  • Proposed Purchaser shall have the meaning set forth in Section 5.7(a).

  • New Security means the establishment of a position which is not currently held by a client portfolio on the day the position is established.

  • Investor Securities means the securities eligible for registration pursuant to the Registration Rights Agreement.

  • Undersubscription Notice means written notice from an Investor notifying the Company and the selling Key Holder that such Investor intends to exercise its option to purchase all or any portion of the Transfer Stock not purchased pursuant to the Right of First Refusal or the Secondary Refusal Right.

  • Remaining Shares has the meaning set forth in Section 4.1.2.

  • Purchaser Securities means the Purchaser Shares, Purchaser Rights, Purchaser Units, Purchaser Warrants, collectively.
