New Security definition

New Security means the establishment of a position which is not currently held by a client portfolio on the day the position is established.
New Security has the meaning set forth in Section 4.21(a).
New Security means any Company Securities issued by the Company after the Closing other than (i) any securities issuable upon conversion of any convertible Company Security outstanding as of the date of this Agreement, (ii) any securities issuable upon exercise of any option, warrant or other similar Company Security authorized as of the date of this Agreement and (iii) any securities issuable in connection with any stock split, stock dividend or recapitalization of the Company where such securities are issued to all stockholders of the Company on a proportionate basis.

Examples of New Security in a sentence

More Definitions of New Security

New Security shall not include (i) any securities issuable upon conversion of any convertible Equity Security, (ii) any securities issuable upon exercise of any option, warrant or other similar Equity Security or (iii) any securities issuable in connection with any stock split, stock dividend or recapitalization of the Company where such securities are issued to all stockholders of the Company on a pro rata basis.
