Unscheduled Loan Prepayment definition

Unscheduled Loan Prepayment means any principal prepayment of the Note prior to the Stated Maturity Date other than as permitted under Section 2.5.1 below. An Unscheduled Loan Prepayment shall include, without limitation, (i) a paydown of the Loan (in whole or in part) prior to the Stated Maturity Date as a result of a Casualty if an Event of Default has occurred and is continuing (but not otherwise), (ii) a paydown of the Loan (in whole or in part) prior to the Stated Maturity Date as a result of a Condemnation if an Event of Default has occurred and is continuing (but not otherwise), or (iii) a paydown of the Loan (in whole or in part) in connection with the exercise by Lender of any of its remedies under this Loan Agreement upon the occurrence and continuance of an Event of Default, including, without limitation, a foreclosure sale of any of the Properties.
Unscheduled Loan Prepayment means any principal prepayment of the Note prior to the Anticipated Repayment Date other than the portion of each Monthly Debt Service Payment Amount (as defined in the Note) which comprises a principal payment. An Unscheduled Loan Prepayment shall include, without limitation, (i) a paydown of the Loan (in whole or in part) prior to the Anticipated Repayment Date as a result of an Insured Casualty pursuant to Paragraph 3(c)(ii) of this Mortgage if an Event of Default, or an event which, with notice and/or the passage of time or both, would constitute an Event of Default, has occurred (but not otherwise), (ii) a paydown of the Loan (in whole or in part) prior to the Anticipated Repayment Date as a result of a Condemnation pursuant to Paragraph 8(d) of this Mortgage if an Event of Default, or an event which, with notice and/or the passage of time or both, would constitute an Event of Default, has occurred (but not otherwise) and (iii) a paydown of the Loan (in whole or in part) in connection with the exercise by Mortgagee of any of its remedies under this Mortgage upon the occurrence of an Event of Default, including, without limitation, a foreclosure sale of the Mortgaged Property.

  • Notice of Loan Prepayment means a notice of prepayment with respect to a Loan, which shall be substantially in the form of Exhibit 2.05 or such other form as may be approved by the Administrative Agent (including any form on an electronic platform or electronic transmission system as shall be approved by the Administrative Agent), appropriately completed and signed by a Responsible Officer.

  • Prepayment means any prepayment, whether in part or in full, in respect of any Receivable.

  • Discounted Term Loan Prepayment has the meaning assigned to such term in Section 2.11(a)(ii)(A).

  • Partial Prepayment Amount means the amount required to prepay a portion of the Annual Special Tax obligation for an Assessor’s Parcel as described in Section H.

  • ECF Prepayment Amount has the meaning assigned to such term in Section 2.11(b)(i).

  • Full Prepayment Any payment of the entire principal balance of a Mortgage Loan which is received in advance of its scheduled Due Date and is not accompanied by an amount of interest representing scheduled interest due on any date or dates in any month or months subsequent to the month of prepayment.

  • Mandatory Prepayment Amount for any Debentures shall equal the sum of (i) the greater of: (A) 130% of the principal amount of Debentures to be prepaid, plus all accrued and unpaid interest thereon, or (B) the principal amount of Debentures to be prepaid, plus all other accrued and unpaid interest hereon, divided by the Conversion Price on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is less, multiplied by the VWAP on (x) the date the Mandatory Prepayment Amount is demanded or otherwise due or (y) the date the Mandatory Prepayment Amount is paid in full, whichever is greater, and (ii) all other amounts, costs, expenses and liquidated damages due in respect of such Debentures.

  • Specified Discount Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(B)(1).

  • Discounted Voluntary Prepayment has the meaning specified in Section 2.05(d)(i).

  • Discount Range Prepayment Amount has the meaning set forth in Section 2.05(a)(v)(C)(1).

  • Loan repayment means the cancellation and repayment of loans
