Transferring Member definition

Transferring Member has the meaning set forth in Section 11.3(a).

Transferring Member. “Transferor Member” and other forms of the word “Transfer” shall have the correlative meanings.

• Each such notice shall describe the manner and circumstances of the Transfer and include a representation from the Transferring Member that such Transfer was made in accordance with applicable securities Laws.
