Remaining Members definition

Remaining Members has the meaning set forth in Section 11.2.

Examples of Remaining Members in a sentence

  • Upon the occurrence of the death, withdrawal, resignation, expulsion, bankruptcy or dissolution of any Member (“Dissolution Event”), the Company shall dissolve unless the Remaining Members who hold a majority of Remaining Membership Interest agree within ninety (90) days to continue the business of the Company.

  • The Company and/or the Remaining Members may purchase the Former Member’s Membership Interest as provided in this Article.

  • If the Remaining Members fail to purchase the entire interest of the Former Member, the company shall purchase any remaining share of the Former Member’s Interest.

  • Notwithstanding the proceeding sentence, if, in the determination of the Remaining Members, a transfer violating Article 6 would cause the termination of the Company under the Code, in the sole discretion of the Managers, the transfer shall be null and void.

  • Until such time, if ever, that the Manager approves the transfer of the entire Disassociated Member’s Membership Interest to the Purchasing Members or a Substitute Member, the voting interests of the Remaining Members will be proportionately increased as necessary to absorb the Disassociated Member’s voting Interests.
