Threshold Return definition

Threshold Return has the meaning set forth in Section 6.2.3 of this Agreement.
Threshold Return means, with respect to each Member, aggregate cash distributions pursuant to Sections 5.01 and 5.02 which would produce a 12% IRR to such Member on all Capital Contributions made by such Member.
Threshold Return means the greater of (1) 30% and (2) the Index Return; provided however, that in the event of a Change of Control, the Threshold Return of 30% shall be adjusted downward on a pro rata basis based upon the actual number of days that have elapsed in the Measurement Period.

Examples of Threshold Return in a sentence

  • Subject to all of the above, the Performance Bonus will be an amount equal to the lesser of (i) 20% of all income earned from the eligible investment, and (ii) the portion of that amount that does not reduce returns on a CSBIF Portfolio below a Cumulative Annualized Threshold Return of 6%.

  • Subject to all of the above, the Performance Bonus will be an amount equal to the lesser of (i) 20% of all income earned from the eligible investment and (ii) the portion of that amount that does not reduce returns on a CSBIF Portfolio below a Cumulative Annualized Threshold Return of 6%.

  • If the Threshold Return is not achieved for the year, then no Corporate Bonus shall be paid for the year.


More Definitions of Threshold Return

Threshold Return means the greater of (1) 10% and (2) the Index Return.
Threshold Return means that: (i) within three (3) years after the effective date of the combination (through a subsidiary merger) of the Company and Apoptos, Inc. (the “Effective Date”), the investors in the Company’s shares of preferred stock actually receive, from a Corporate Transaction, an aggregate amount of distributions, payments or other consideration in respect of their shares of Company preferred stock which is equal to three (3) times the amount of their collective investment in such shares of Company preferred stock; (ii) after three (3) but within five (5) years after the Effective Date, the investors in the Company’s shares of preferred stock actually receive, from a Corporate Transaction, an aggregate amount of distributions, payments or other consideration in respect of their shares of Company preferred stock which is equal to five (5) times the amount of their collective investment in such shares of Company preferred stock; or (iii) beyond five (5) years after the Effective Date, the investors in the Company’s shares of preferred stock actually receive, from a Corporate Transaction, an aggregate amount of distributions, payments or other consideration in respect of their shares of Company preferred stock which is determined to be sufficient by the Company’s Board of Directors in its sole discretion to constitute the Threshold Return for purposes of this Agreement (but which is greater, in any event, than five (5) times the amount of their collective investment in such shares of Company preferred stock). Determinations with respect to the value of any payments, distributions or other consideration (where other than in cash or marketable securities) shall be made in good faith by the Company’s Board of Directors.

Threshold Return means for any period the amount of Net Income for such period that would produce an annualized return on our average invested assets equal to the sum of (i) the Ten-Year U.S. Treasury Rate for such period plus (ii) 1.0%.
