Term of the Grant definition

Term of the Grant or “Term” means from the Effective Date and, unless earlier terminated as provided by this Agreement, through January 31, 2021.
Term of the Grant means the term of the grant within the meaning of each of the Schedules to these Regulations;
Term of the Grant means ten (10) years beginning 180 (one hundred and eighty) days from the date on which the closing notice of the IPO (anúncio de encerramento da oferta) is published, during which the Board of Directors will grant Option(s) to the Beneficiaries;

  • Applicable Anniversary of the Commencement Date means the fifth (5th) anniversary of the Commencement Date.

The purpose of this clause is to avoid a TIPS Member inadvertently renewing a Supplemental Agreement during a period in which the governing body of the TIPS Member has not properly appropriated and budgeted the funds to satisfy the Agreement renewal. Any TIPS Sale Supplemental Agreement containing an "Automatic Renewal" clause that conflicts with these terms is rendered void and unenforceable. If Vendor disagrees, after this solicitation legally closes and TIPS begins evaluating Vendor's file, TIPS will provide Vendor with a draft Word Document version of the Vendor Agreement and will be instructed to include all requested negotiations as redline edits for TIPS consideration. Any TIPS Sale Supplemental Agreement containing an "Indemnity" clause that conflicts with these terms is rendered void and unenforceable. If Vendor disagrees, after this solicitation legally closes and TIPS begins evaluating Vendor's file, TIPS will provide Vendor with a draft Word Document version of the Vendor Agreement and will be instructed to include all requested negotiations as redline edits for TIPS consideration.
