If any distribution in respect of which an adjustment to the Exercise Price is required to be made as of the record date or Payment Date or Tender Expiration Date therefor is not thereafter made or paid by the Company for any reason, the Exercise Price shall be readjusted to the Exercise Price which would then be in effect if such record date had not been fixed or such effective date or Payment Date or Tender Expiration Date had not occurred.
Also enclosed is a Notice of Guaranteed Delivery to be used to accept the Exchange Offer if time will not permit all required documents to reach the exchange agent prior to the Tender Expiration Date or if the procedures for book-entry transfer cannot be completed on a timely basis.
