Tax Withholding Amount definition

Tax Withholding Amount means the amount, if any, which, upon the exercise of an Option or an election by a Participant under Section 83(b) of the Code, the Company or a Subsidiary may be required to withhold in order to obtain a federal and/or state income tax deduction, such amount which shall be paid to the Company by the Participant.
Tax Withholding Amount means the withholding Taxes owed to any Tax Authority as a result of the transactions contemplated by this Agreement
