If the total of all Company Reimbursable Costs actually incurred is greater than the Total Payments Made, the Company shall provide a final invoice to Customer for the balance due to the Company under this Agreement (the “Balance Amount”).
If the Total Payments Made is greater than the total of all Company Reimbursable Costs actually incurred, Company shall reimburse the difference to Customer (“Refund Amount”).
Any reduction of the Total Payments required by this paragraph will be implemented by determining the Parachute Ratio (as defined below) for each Payment and then by reducing the Payments in order, beginning with the Payment with the highest Parachute Ratio.
The County shall give written notice to the Trustee and the Authority by no later than June 30 of each year, while there remain any of the Bonds Outstanding, if the amount appropriated by the Board for the Fiscal Year commencing on the immediately succeeding July 1 is insufficient to make all Total Payments coming due in such Fiscal Year.
The foregoing provisions of this Section 13.4 shall apply with respect to any person only if, after reduction for any applicable Federal excise tax imposed by Code Section 4999 and Federal income tax imposed by the Code, the Total Payments accruing to such person would be less than the amount of the Total Payments as reduced, if applicable, under the foregoing provisions of the Plan and after reduction only for Federal income taxes.
