Definition of Tax Package

  1. Tax Package means Tax data and information relating to the operations of Allegion, any Allegion Subsidiary or the Allegion Business that is reasonably necessary to prepare and file any Tax Return in respect of Consolidated Taxes of any Consolidated Entity and is consistent with the content and format of Tax data and information submitted by such Consolidated Entity or any Allegion Business divisions to IR or its Subsidiaries for Tax Returns for Tax periods ending on or prior to the Distribution Date.

Definition of Tax Package in Tax Allocation Agreement

Tax Package means (a) a pro forma Tax Return relating to the operations of the Included Party that is required to be included in a Combined Return being prepared by a Preparing Party; and (b) all information pertaining to the operations of the Included Party that is reasonably necessary to prepare and file the applicable Combined Return required to be filed by the Preparing Party that includes the Included Party for one or more days in a Tax period.
