Tax Package definition

Tax Package has the meaning assigned in Section 6.01(b);

Tax Package has the meaning specified in Section 7.2(b)(iii).

Tax Package shall have the meaning set forth in Section 5.5.

Examples of Tax Package in a sentence

• Such Tax Package shall be provided in a timely manner consistent with the past practices of the Parties and their Subsidiaries.

• In the event Allegion does not fulfill its obligations pursuant to this Section 3.3(b), IR shall be entitled, at the sole cost and expense of Allegion, to prepare or cause to be prepared the information required to be included in the Tax Package for purposes of preparing any such Tax Return.

More Definitions of Tax Package

Tax Package means all relevant Tax-related information relating to the operations of the Parent Business or the Lift Truck Business, as applicable, that is reasonably necessary to prepare and file the applicable Tax Return.

Tax Package is defined in Section 3.3(b).

Tax Package means all relevant Tax-related information relating to the operations of the Parent Business or the SpinCo Business, as applicable, that is reasonably necessary to prepare and file the applicable Tax Return.

Tax Package means: (a) a pro forma Tax Return relating to the operations of a Spinco Party and/or its Subsidiaries that are required to be included in any Tax Group of which such Spinco Party and/or such Subsidiaries is or was a member for one or more days in a Tax year, and (b) all information relating to the operations of a Spinco Party and/or its Subsidiaries that is reasonably necessary to prepare and file the applicable Tax Return required to be filed by any Tax Group of which such Spinco Party or any of its Subsidiaries is or was a member for one or more days in a Tax year.
