If one Party remits to the appropriate Governmental Authority payment for Taxes and such payment includes the other Party’s share of such Taxes, such other Party shall promptly reimburse the remitting Party for its share of such Taxes by no later than the due date for filing the applicable Tax Return (taking into account applicable extensions).
Notwithstanding anything to the contrary in this Agreement, no provision of this Agreement shall be construed to (i) require either Party to provide to any Person any right to access or to review any other information, Tax Return or work papers related to Taxes to the extent not related to the Transferred Assets or the Assumed Liabilities or (ii) require either Party to provide to any Person any consolidated Tax Return or other consolidated Tax information.
No Party hereto shall file any Tax Return or other document with, or make any statement or declaration to, any governmental body that is inconsistent with the Allocation Schedule unless required to do so pursuant to a “determination” within the meaning of Section 1313 of the Code.
The Party responsible under Applicable Law shall, at its own expense, timely file any Tax Return or other document with respect to such Transfer Taxes or fees and shall timely pay such Transfer Taxes or fees (and the other Party shall cooperate with respect thereto as necessary).
No Target Company is currently the beneficiary of any extension of time within which to file any Tax Return.
