The Parties shall furnish or cause to be furnished to each other, upon request, and each at their own expense, as promptly as practicable, such relevant information and assistance relating to the Target Group Companies as is necessary for the preparation and filing of any Tax Return and for the preparation for any Tax audit or similar proceeding with a Tax Authority.
Seller shall, at its own expense, timely file any Tax Return or other document with respect to such Transfer Taxes or fees (and Buyer shall cooperate with respect thereto and remit to Seller its portion (if any) of such Transfer Taxes as necessary).
Section 4.12(d) of the Disclosure Schedule sets forth each jurisdiction (other than United States federal) in which the Company and each Company Subsidiary is or has ever been registered for taxes or business, files or is required to file or has been required to file any Tax Return or is liable for any Taxes on a “nexus” basis.
Any (a) Taxes attributable to any Tax period (or portion thereof) ending on or before the Closing Date that is reflected on any such Tax Return and was not included in calculation of the Company Debt (as finally determined), and (b) costs for the preparation and filing of such Tax Returns that are not paid by the Company or the Company Subsidiaries prior to the Closing will be reimbursed from the Escrow Fund.
Neither party will, nor will permit their affiliates or agents (including any paying agent) to, take a contrary position or action (including on any Tax Return, IRS Form 1099 or any other information return or by way of withholding) without the other party’s prior written consent.
