No broker, finder, investment banker or other Person (other than the SyntheMed Financial Advisors) is entitled to any brokerage, finder or similar fee or commission in connection with the Merger and the Contemplated Transactions based upon arrangements made by or on behalf of any SyntheMed Corporation.
Financial Advisors has the meaning set forth in Section 4.26.
Independent Financial Advisor means an accounting, appraisal, investment banking firm or consultant to Persons engaged in Similar Businesses of nationally recognized standing that is, in the good faith judgment of the Issuer, qualified to perform the task for which it has been engaged.
Company Financial Advisor has the meaning set forth in Section 3.10.
Financial Advisor has the meaning set forth in Section 3.6.
Independent Financial Adviser means an independent financial institution of international repute appointed by the Company at its own expense.

Fairness Opinion has the meaning set forth in Section 4.22.
Fairness Opinions means, collectively, the opinion of the Financial Advisor and the opinion of the Independent Financial Advisor to the effect that, as of the date of such opinions, and subject to the assumptions, limitations and qualifications set forth therein, the Consideration to be received by the Company Shareholders (other than the Purchaser and/or its affiliates) pursuant to the Arrangement is fair, from a financial point of view, to the Company Shareholders (other than the Purchaser and/or its affiliates).
SBI means State Bank of India (Client) having its Corporate Centre at Madame Cama Road, Nariman Point, Mumbai- 400 021 and its representative Local Head Offices/Administrative Offices/Regional Business Offices/Branches at various places across India and includes the client’s representatives, successors and assigns.
Acquisition Sub shall have the meaning set forth in the Preamble.
Goldman means Xxxxxxx, Sachs & Co.
MNRE means Ministry of New and Renewable Energy, Government of India;
SLDC means the State Load Dispatch Center as notified by the State Government.
Public Company means any Person with a class or series of Voting Stock that is traded on a stock exchange or in the over-the-counter market.
Investment Advisory Services means (a) advice with respect to the desirability of investing in, purchasing or selling securities or other property, including the power to determine what securities or other property shall be purchased or sold, but not including furnishing only statistical and other factual information (such as economic factors and trends); and (b) the provision of financial, economic or investment management services, but only if ancillary and related to the advice referred to in clause (a) above.
CCMA means the Commission for Conciliation, Mediation and Arbitration established in terms of section 112 of the Labour Relations Act, 1995;
MergerCo shall have the meaning set forth in the introductory paragraph to this Agreement.
SoftBank means Softbank Group Corp.
Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.
Company SEC Documents has the meaning set forth in Section 3.04(a).
Company Acquisition Proposal means any offer, indication of interest or proposal (other than an offer or proposal made or submitted by or on behalf of Parent or any of its Subsidiaries) contemplating or otherwise relating to any Company Acquisition Transaction.
MergerSub has the meaning set forth in the Preamble.
Acquisition Subsidiary shall have the meaning set forth in the Preamble.
