Superior Company Transaction means any bona fide written ---------------------------- proposal with respect to a transaction involving all of the outstanding Company Stock or all or substantially all of the Assets which the Board of Directors of the Company determines, in its good faith judgment, (i) contains terms which are more favorable and provide greater value to the Company's stockholders than this Agreement and the Merger taken as a whole and (ii) is reasonably capable of being completed on substantially the terms proposed (including consideration as to whether such proposal is fully financed, if applicable).
