Equity Transaction definition

Equity Transaction means, with respect to any member of the Consolidated Parties, any issuance or sale of shares of its Capital Stock, other than an issuance (a) to a Consolidated Party, (b) in connection with a conversion of debt securities to equity, (c) in connection with the exercise by a present or former employee, officer or director under a stock incentive plan, stock option plan or other equity‑based compensation plan or arrangement, or (d) in connection with any acquisition permitted hereunder.

Equity Transaction means any issuance by the Borrower or any of its Subsidiaries to any Person of (i) shares of its capital stock or other equity interests, (ii) any shares of its capital stock or other equity interests pursuant to the exercise of options or warrants or (iii) any shares of its capital stock or other equity interests pursuant to the conversion of any debt securities to equity.

  • Upon the incurrence or issuance by any Loan Party or any Subsidiary thereof of any Indebtedness (other than Indebtedness expressly permitted to be incurred or issued pursuant to Section 7.2), or the consummation of any Equity Transaction, the Borrower shall make a mandatory prepayment of the Loan in the manner set forth in Section 2.2(b)(vi) in an amount equal to one hundred percent (100%) of all Net Cash Proceeds received therefrom immediately upon receipt thereof by such Person.

Equity Transaction means any issuance by the Borrower or any of its Subsidiaries of (i) shares of its capital stock, (ii) any shares of its capital stock pursuant to the exercise of options or warrants or (iii) any shares of its capital stock pursuant to the conversion of any debt securities to equity; provided, however, "Equity Transaction" shall not include any such transactions described in this definition which result in proceeds of less than $500,000 during any fiscal year.
