If this Contract ceases to further the public interest of the State, the State, in its discretion, may terminate this Contract in whole or in part.
If, after termination by the State, the State agrees that Contractor was not in breach or that Contractor's action or inaction was excusable, such termination shall be treated as a termination in the public interest, and the rights and obligations of the Parties shall be as if this Contract had been terminated in the public interest under §2.F.
If, after termination by the State, the State agrees that County was not in breach or that County's action or inaction was excusable, such termination shall be treated as a termination in the public interest, and the rights and obligations of the Parties shall be as if this Contract had been terminated in the public interest under §2.E.
In the event of a material failure of the Contractor’s product to function and operate, and/or failure by the Contractor to perform its obligations, in accordance with the terms and conditions of this Contract that results in the termination of this Contract for cause by the State, the State will not be obligated to compensate the Contractor of any costs incurred by the Contractor.
Additionally, if this Contract is less than 60% completed, as determined by the State, the State may reimburse County for a portion of actual out-of-pocket expenses, not otherwise reimbursed under this Contract, incurred by County which are directly attributable to the uncompleted portion of County’s obligations, provided that the sum of any and all reimbursement shall not exceed the maximum amount payable to County hereunder.
