Special Situations Investments definition

Special Situations Investments means, as determined in the reasonable judgment of the Borrower, any Securities or Loans issued by (i) an out-of-favor company with visible potential operating cash flows and/or liquidation values, and with businesses that are understandable, but may have complex legal, operational and financial issues, or (ii) a fundamentally sound operating company with sustainable margins that may have a poorly conceived capital structure that, in general, the Borrower has purchased substantial positions in such Securities or Loans, often with the goal of influencing the values of investments through active management.
Special Situations Investments means investments structured as senior debt, convertible debt, or some combination of debt instruments and equity instruments (including, without limitation, investments in a company undergoing a restructuring or recapitalization of its existing debt or equity, investments in subordinated debt, any investment consisting of a bridge loan to a company which is in the process of raising additional private equity, planning an initial public offering or is seeking to enter into a business combination through which it would be acquired, and investments in companies that have been bootstrapped, without any substantial investment by venture capital or other investors).
