Stockholder Agreement means the Stockholder Agreement, dated as of August 29, 2003, among the Company and its stockholders, as amended and in effect from time to time.
Holder Information shall have the meaning given in Section 4.1.2.
Formation Agreement has the meaning attributed to it in Recital A;
Shareholder Data means all information maintained on the records database of Transfer Agent concerning Shareholders.
Purchaser Confidential Information means all confidential or proprietary documents and information concerning the Purchaser or any of its Representatives; provided, however, that Purchaser Confidential Information shall not include any information which, (i) at the time of disclosure by the Company, the Seller Representative or any of their respective Representatives, is generally available publicly and was not disclosed in breach of this Agreement or (ii) at the time of the disclosure by the Purchaser or its Representatives to the Company, the Seller Representative or any of their respective Representatives, was previously known by such receiving party without violation of Law or any confidentiality obligation by the Person receiving such Purchaser Confidential Information. For the avoidance of doubt, from and after the Closing, Purchaser Confidential Information will include the confidential or proprietary information of the Target Companies.
Shareholder Agreement has the meaning set forth in the Recitals.
Member Information means the share, deposit, loan account balances, or other information related to any member of a domestic credit union maintained in any form.
Underwriter Information has the meaning provided in Section 3(c) hereof.
representation agreement means the written agreement between a money transfer service provider and a representative of the money transfer service provider that states the terms on which the representative offers the money transfer service within Australia;
Buyer Confidential Information shall have the meaning set forth in Section 5.1.
Seller Information As defined in Subsection 34.04(a).
Existing Confidentiality Agreement shall have the meaning set forth in Section 6.6.
Acquisition Agreement Representations means the representations and warranties with respect to the Companies made by the Seller in the Acquisition Agreement to the extent a breach of such representations and warranties is material to the interests of the Lenders, but only to the extent that the Borrower or its Affiliates have the right to terminate its or their obligations under the Acquisition Agreement (or decline to consummate the Rockwood Acquisition) as a result of a breach of such representations in the Acquisition Agreement.
Shareholder Agreements has the meaning set forth in the recitals to this Agreement.
Acceptable Confidentiality Agreement means a confidentiality agreement that contains provisions that are no less favorable in the aggregate to the Company than those contained in the Confidentiality Agreements; provided, that such agreement and any related agreements shall not include any provision calling for any exclusive right to negotiate with such party or having the effect of prohibiting the Company from satisfying its obligations under this Agreement.
Business Confidential Information has the meaning set forth in Section 5.04(a).
Disclosure to information norm means the Policy shall be void and all premium paid thereon shall be forfeited to the Company, in the event of misrepresentation, mis-description or non-disclosure of any material fact.
Subscriber Information means any information contained in the form of computer data or any other form that is held by a service provider relating to subscribers of its services, other than traffic or content data, by which can be established:
Seller Confidential Information has the meaning set forth in Section 6.4.3.
Fund Confidential Information means Confidential Information for which the Fund is the Disclosing Party.
Cooperation Agreement means that certain Mortgage Loan Cooperation Agreement, dated as of the Closing Date, among Borrower, Lender and Sponsor, as the same may from time to time be amended, restated, replaced, supplemented or otherwise modified in accordance herewith.
Noncompetition Agreement has the meaning stated in Section 2.1.
Key Information Document means the key information document which aims to provide clear and comparable information about a product in a stand-alone, standardised document.
Affiliation Agreement means a written agreement between the governing authority of the program and another organization under the terms of which specified services, space or personnel are provided to one organization by the other, but without exchange of moneys.
Transaction Agreement has the meaning set forth in the recitals.
Confidential Information Memorandum means the Confidential Information Memorandum of the Borrower dated March, 2004, delivered to the Lenders in connection with this Agreement.
