Series of Pari Passu Lien Debt definition

Series of Pari Passu Lien Debt means, severally, Funded Debt under this Indenture, the Specified Pari Passu Lien Debt Documents, the 2020 Bond Financing Agreement, the 2019 Bond Financing Agreement and each other issue or series of Pari Passu Lien Debt for which a single transfer register is maintained.
Series of Pari Passu Lien Debt means, severally, (a) the Notes and (b) each series of other notes or other Indebtedness under any indenture or other Credit Facility represented by a single Pari Passu Lien Representative that constitutes Pari Passu Lien Obligations.
Series of Pari Passu Lien Debt means, each of (i) the Pari Passu Lien Notes Obligations, (ii) the Pari Passu Lien Credit Facility Obligations, (iii) all Obligations in respect of the 2027 Notes and the guarantees and security documents in respect thereof and (iv) all other Obligations in respect of Pari Passu Lien Debt incurred pursuant to any Pari Passu Lien Document, which pursuant to any joinder agreement to the First Lien Intercreditor Agreement, are to be represented hereunder by a common Authorized Representative (in its capacity as such for such Pari Passu Lien Debt).

  • Promptly following the Discharge of Pari Passu Lien Obligations with respect to one or more Series of Pari Passu Lien Debt, each Pari Passu Lien Representative with respect to each applicable Series of Pari Passu Lien Debt that is so discharged will provide written notice of such discharge to the Collateral Trustee and to each other Pari Passu Lien Representative.

  • Notwithstanding the foregoing, if any Series of Pari Passu Lien Debt has released its Lien on any Collateral as described below in Section 4.4, then such Series of Pari Passu Lien Debt and any related Pari Passu Lien Obligations of that Series of Pari Passu Lien Debt thereafter shall not be entitled to share in the proceeds of any Collateral so released by that Series of Pari Passu Lien Debt.

Notwithstanding the foregoing, "Guarantor Senior Indebtedness" shall not include (i) Indebtedness evidenced by the Guarantees, (ii) Indebtedness that is subordinate or junior in right of payment to any Indebtedness of any Guarantor, (iii) Indebtedness which when incurred and without respect to any election under Section 1111(b) of Title 11 of the United States Code, is without recourse to any Guarantor, (iv) Indebtedness which is represented by Disqualified Equity Interests, (v) any liability for foreign, federal, state, local or other taxes owed or owing by any Guarantor to the extent such liability constitutes Indebtedness, (vi) Indebtedness of any Guarantor to a Subsidiary or any other Affiliate of the Company or any of such Affiliate's subsidiaries, (vii) Indebtedness evidenced by any guarantee of any Subordinated Indebtedness or Pari Passu Indebtedness, (viii) that portion of any Indebtedness which at the time of issuance is issued in violation of this Indenture and (ix) Indebtedness owed by any Guarantor for compensation to employees or for services.

  • Senior Secured Notes means the $1,875 million aggregate principal amount of 7.375% Senior Secured Notes due 2023 of the Borrower including, as the same may be amended, supplemented, waived or otherwise modified from time to time, including any senior secured exchange notes issued in lieu thereof.

  • Consolidated First Lien Debt means, as to any Person at any date of determination, the aggregate principal amount of Consolidated Total Debt outstanding on such date that is secured by a first priority Lien on any asset or property of such Person or its Restricted Subsidiaries that constitutes Collateral.

  • Permitted Subordinated Indebtedness means Indebtedness incurred after the Closing Date by the Borrower or the Subsidiaries that is (i) subordinated to the Obligations and all other Indebtedness owing from the Borrower or the Subsidiaries to the Lender pursuant to a written subordination agreement satisfactory to the Lender in its sole discretion and (ii) in an amount and on terms approved by the Lender in its sole discretion.

  • Junior Subordinated Indebtedness means the principal of (and premium, if any) and unpaid interest on (a) indebtedness of the Company (including indebtedness of others guaranteed by the Company), whether outstanding on the date hereof or thereafter created, incurred, assumed or guaranteed, for money borrowed, which in the instrument creating or evidencing the same or pursuant to which the same is outstanding it is provided that such indebtedness ranks junior in right of payment to the Company’s Senior Indebtedness and Senior Subordinated Indebtedness and equally and pari passu in right of payment to any other Junior Subordinated Indebtedness, (b) Junior Subordinated Securities, and (c) renewals, extensions, modifications and refinancings of any such indebtedness.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • Series of Secured Debt means each Series of Priority Lien Debt, each Series of Parity Lien Debt and each Series of Junior Lien Debt.

  • Priority Lien Debt has the meaning assigned to such term in the Intercreditor Agreement.
