The “Series C-1 Conversion Price” as of the filing date of this Amended and Restated Certificate of Incorporation is equal to the Series C-1 Original Issue Price and shall be subject to adjustment as provided below.
Upon the occurrence of a Mandatory Conversion Event, each share of Series C-1 Preferred Stock shall be converted, without the payment of any additional consideration by the holder thereof, into such number of fully paid and nonassessable shares of Common Stock as is determined by dividing (A) the Series C-1 Original Issue Price by (B) the Series C-1 Conversion Price, determined as hereinafter provided, in effect at the time of conversion.
