Series 1 Debenture Offer Price has the meaning ascribed thereto in the preamble;

  • Series D Notes is defined in Section 1.

  • Series B Debentures means the Series B 10.01% Junior Subordinated Deferrable Interest Debentures due March 15, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Final Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency determined by the Calculation Agent equal to the Notional Amount multiplied by:

  • Series A Notes is defined in Section 1.

  • Initial Debentures means the Debentures designated as “6.50% Convertible Extendible Unsecured Subordinated Debentures” and described in Section 2.4;

  • Additional Debentures means Debentures of any one or more series, other than the first series of Debentures, being the Initial Debentures, issued under this Indenture;

  • Early Preference Share Redemption Notice means a notice of early redemption of some or all of the Preference Shares given by or on behalf of the Company in accordance with Condition 6 (Notices).

  • Exchange Debentures means 15% Subordinated Exchange Debentures due 2010 of the Corporation, to be issued pursuant to an indenture between the Corporation and a trustee, containing customary terms and conditions, in accordance with the Term Sheet attached as Annex A hereto.

  • Early Preference Share Redemption Amount means, subject to the provisions of the Articles and the Conditions, in respect of each Preference Share, an amount expressed in the Settlement Currency calculated by the Calculation Agent as the fair market value (calculated without taking into account the creditworthiness of the Company) of a Preference Share as of the Early Preference Share Valuation Date taking into account such factor(s) as the Calculation Agent determines appropriate, including, but not limited to, the relevant Early Preference Share Redemption Event after deducting any Associated Costs (to the extent not already reflected in such fair market value).

  • Series A Redemption Notice shall state, as applicable: (1) the Series A Redemption Date, (2) the number of Series A Preference Units to be redeemed and, if less than all Outstanding Series A Preference Units are to be redeemed, the number (and the identification) of Units to be redeemed from such Series A Holder, (3) the Series A Redemption Price, (4) the place where the Series A Preference Units are to be redeemed and shall be presented and surrendered for payment of the Series A Redemption Price therefor and (5) that distributions on the Units to be redeemed shall cease to accumulate from and after such Series A Redemption Date.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Final Preference Share Redemption Date means the date that falls twenty Business Days following the Valuation Date on which the Calculation Agent has determined the Final Preference Share Redemption Amount or, if earlier, the first Auto-Call Valuation Date on which an Auto-Call Trigger Event has occurred.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • New Convertible Notes means the Company’s 5.0% Senior Unsecured Convertible Notes due 2023.

  • Series B Notes The Company's 9-1/8% Senior Subordinated Notes due 2008 to be issued pursuant to the Indenture: (i) in the Exchange Offer or (ii) as contemplated by Section 4 hereof.

  • Convertible Notes means Indebtedness of the Company that is optionally convertible into Common Stock of the Company (and/or cash based on the value of such Common Stock) and/or Indebtedness of a Subsidiary of the Company that is optionally exchangeable for Common Stock of the Company (and/or cash based on the value of such Common Stock).

  • Series C Notes is defined in Section 1.

  • Series A Debentures means the Series A 10.01% Junior Subordinated Deferrable Interest Debentures due March 15, 2027 of the Debenture Issuer issued pursuant to the Indenture.

  • Debenture Redemption Date means, with respect to any Debentures to be redeemed under the Indenture, the date fixed for redemption under the Indenture.

  • 2014 Notes means (i) the 4.850% Senior Secured Notes due 2024 issued by the Issuer on March 18, 2014 and (ii) the 4.45% Senior Secured Notes due 2025 and the 5.45% Senior Secured Notes due 2034 issued by the Issuer on August 21, 2014.

  • Conversion Securities means the shares of Common Stock issuable upon conversion of this Note in accordance with Sections 5.1 and 5.2(d).

  • Series B Equipment Notes means the equipment notes, if any, issued pursuant to each Indenture by American and authenticated by the Loan Trustee thereunder, and designated “Series B Equipment Notes” thereunder, and any such Equipment Notes issued in exchange therefor or replacement thereof pursuant to the terms of such Indenture.

  • Convertible Debenture means any debenture or other instrument evidencing indebtedness of the Corporation convertible at any time into shares of the Common Stock.

  • Bridge Notes means the series of notes, of which this Note is a part, dated on or about the date hereof, each of which are identical, other than the date of the Note, identity of the Holder and principal amount of this Note.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Series B Conversion Price means the price at which Ordinary Shares shall be allotted upon conversion of the Series B Preferred Shares as stipulated in Article 16.
