Nothing in these Conditions shall be construed or deemed to limit the ability of the Issuer to issue further Senior Ranking Obligations or Equal Ranking Securities.
Nothing in this clause limits the ability of CBA to, in its absolute discretion from time to time, issue further Senior Ranking Obligations or Equal Ranking Securities.
Claims in respect of Subordinated Notes rank in our Winding-Up: • after the claims in respect of Senior Ranking Obligations including claims preferred by applicable laws; • pari passu with claims in respect of Equal Ranking Securities; and • ahead of all claims in respect of Junior Ranking Securities including claims referred to in Sections 563AA and 563A of the Corporations Act.
The Subordinated Securities are not protected accounts or deposit liabilities of the Issuer for the purposes of the Banking Act.(c) In a winding up of the Issuer, payments on each Subordinated Security are subject to:(i) all holders of Senior Ranking Obligations being paid in full before any payment is made to Subordinated Holders; and(ii) Subordinated Holders and holders of Equal Ranking Securities being paid on a pro-rata basis.
In the event of resolution measures imposed on the Issuer and in the event of the dissolution, liquidation, insolvency, composition or other proceedings for the avoidance of insolvency of, or against, the Issuer, no amounts shall be payable in respect of the Notes until the Senior Ranking Obligations have been satisfied in full.
