SEI Common Stock means all classes and series of common stock of SEI, including the Class A Stock and Class B Stock.

  • In the event that, subsequent to the date of this Agreement but prior to the Closing Date, the outstanding shares of SEI Common Stock shall have been changed into a different number of shares or a different class as a result of a stock split, reverse stock split, stock dividend, subdivision, reclassification, split, combination, exchange, recapitalization or other similar transaction, the number of shares of SEI Common Stock to be delivered pursuant to this Agreement shall be appropriately adjusted.

  • Certificates representing the SEI Common Stock will bear legends with respect to restrictions on subsequent transfers of the securities.
