S-X 3-14 Financial Statements definition

S-X 3-14 Financial Statements means the financial statements for the properties acquired and to be acquired by Buyer pursuant to the Transaction Documents, for the periods required by applicable SEC requirements with respect to acquired real estate operations, and prepared in accordance with GAAP (except, in the case of unaudited statements, as permitted by the applicable rules and regulations of the SEC), applied on a consistent basis during the period involved (except as may be indicated in the notes thereto and subject, in the case of unaudited statements, to normal year-end adjustments.
