Rosetta Effective Date definition

Rosetta Effective Date means, in relation to the Release and Reassignment and the Reflagging in respect of the Rosetta Collateral Ship and the relevant amendments to the Loan Agreement, the other Finance Documents and each Master Agreement set out in Clauses 5.1(b), 5.3(a) and 5.4, the date on which the Agent confirms to the Borrowers in writing substantially in the form set out in Schedule 2 that all the conditions precedent in Clause 3.3 relevant to the Rosetta Collateral Ship have been satisfied;

  • Target Effective Date has the meaning specified in Section 2.01(a).

  • Order Form Effective Date means the date on which an Order Form comes into effect as indicated in that Order Form.

"Execution Time" shall mean the date and time that this Agreement is executed and delivered by the parties hereto. "Prospectus" shall mean the Basic Prospectus as supplemented by the Prospectus Supplement. "Registration Statement" shall mean the Registration Statement referred to in paragraph (a) above, including incorporated documents, exhibits and financial statements, as amended at the Execution Time. "Rule 415" and "Rule 424" refer to such rules under the Act. Any reference herein to the Registration Statement, the Basic Prospectus, the Prospectus Supplement or the Prospectus shall be deemed to refer to and include the documents incorporated by reference therein pursuant to Item 12 of Form S-3 which were filed under the Exchange Act on or before the Effective Date or the issue date of the Basic Prospectus, the Prospectus Supplement or the Prospectus, as the case may be; and any reference herein to the terms "amend", "amendment" or "supplement" with respect to the Registration Statement, the Basic Prospectus, the Prospectus Supplement or the Prospectus shall be deemed to refer to and include the filing of any document under the Exchange Act after the Effective Date or the issue date of the Basic Prospectus, the Prospectus Supplement or the Prospectus, as the case may be, deemed to be incorporated therein by reference.

  • Settlement Effective Date means the date on which the Final Order is Final, provided that by such date the Settlement has not been terminated in accordance with Article 11.

  • Initial Effective Date means the date that the Initial Registration Statement has been declared effective by the SEC.

  • Effective Date has the meaning set forth in the preamble.

  • First Restatement Effective Date means the “Restatement Effective Date” as defined in the First Amendment Agreement.

  • Amendment Effective Date means the date of this Agreement.

  • License Effective Date means, with respect to each Component System of the Licensed System that Company is given the right to access and use, the date as of which the Company is first given such right to access and use.

  • Extension Effective Date has the meaning specified in Section 2.06(c).

  • Required Effective Date means the relevant Initial Required Effective Date or Increased Required Effective Date (as those terms are defined below).

  • Amendment No. 2 Effective Date has the meaning specified in Amendment No. 2.

  • Amendment No. 4 Effective Date has the meaning assigned to such term in Amendment No. 4.

  • Amendment No. 5 Effective Date has the meaning set forth in Amendment No. 5.
