Reorganized Parent Charter definition

Reorganized Parent Charter means the certificate of incorporation of Parent to be in effect upon the Effective Date, which shall be included with the Plan Supplement.
Reorganized Parent Charter means, collectively, the amended and restated certificate of incorporation and bylaws of Reorganized Parent, which shall be substantially in the forms contained in the Plan Supplement.
Reorganized Parent Charter means the articles of incorporation of the Reorganized Parent, as they may be amended or amended and restated pursuant to the Plan, the Confirmation Order, the Nevada Corporation Law or otherwise and filed with the Office of the Secretary of State of Nevada. The form of the Reorganized Parent Charter is attached hereto as Exhibit I.

  • Article IV.K.4 of the Plan expressly prohibits the issuance of non-voting equity securities, which is additionally reflected in Article IV of the Reorganized Parent Charter.

  • Surviving Company has the meaning set forth in Section 2.1.

  • New Holdco means the direct or indirect Subsidiary of the Ultimate Parent following the Post-Closing Reorganizations.

  • Merger Sub I has the meaning set forth in the Preamble.

  • Articles of Association means the articles of association of the Company, as amended from time to time.

  • Memorandum of Association means the memorandum of association of the Company, as amended or substituted from time to time;

  • Company Certificate of Incorporation means the certificate of incorporation of the Company.

  • Merger Sub Board means the board of directors of Merger Sub.

  • Parent Bylaws means the bylaws of Parent, as amended.

  • Surviving Debt means Debt of each Loan Party and its Subsidiaries outstanding immediately before and after the Closing Date.

  • Merger Sub 1 has the meaning set forth in the Preamble.

  • GCL means the General Corporation Law of the State of Delaware, as amended from time to time.

  • Parent Organizational Documents means the certificate of incorporation, bylaws (or equivalent organizational or governing documents), and other organizational or governing documents, agreements or arrangements, each as amended to date, of each of Parent and Acquisition Sub.
