Regulation S Book-Entry Certificates. Certificates sold in offshore transactions in reliance on Regulation S in the form of one or more permanent global Certificates in definitive, fully registered form without interest coupons, which shall be deposited on behalf of the subscribers for such Certificates represented thereby with the Trustee, as custodian for DTC and registered in the name of a nominee of DTC.
Regulation S Book-Entry Certificates. The Non-Registered Certificates sold to institutions that are non-United States Securities Persons in Offshore Transactions in reliance on Regulation S and represented by one or more Book-Entry Non-Registered Certificates deposited with the Certificate Administrator as custodian for the Depository.
Regulation S Book-Entry Certificates. With respect to any Class of Certificates offered and sold outside of the United States in reliance on Regulation S, a single Book-Entry Certificate, in definitive, fully registered form, without interest coupons.

  • Restricted Global Certificate Has the meaning specified in Section 3.01(c).

  • Regulation S Global Security The meaning specified in Section 3.01(c).

  • Regulation S Global Notes means, collectively, the Temporary Regulation S Global Notes and the Permanent Regulation S Global Notes.

  • Regulation S Global Note means a Regulation S Temporary Global Note or Regulation S Permanent Global Note, as appropriate.

  • Rule 144A Global Certificates As defined in Section 5.02(c)(ii) of this Agreement.
