Registrable Securities Holder definition

Registrable Securities Holder means any holder of outstanding Registrable Securities, provided, however, that for the purpose of this definition the holder of this Option shall be deemed to be the Holder of the Registrable Securities into which that security is then exercisable.
Registrable Securities Holder means any of the Seller or a Seller’s Affiliate holding the Registrable Securities.
Registrable Securities Holder means the holder(s) of any Registrable Securities that assumes in writing the obligations of a Registrable Securities Holder under this Agreement.

  • In connection with the registration of the Registrable Securities, Holder shall furnish to the Company such information regarding itself, the Registrable Securities held by it and the intended method of disposition of the Registrable Securities held by it as shall be reasonably required to effect the registration of such Registrable Securities and shall execute such documents in connection with such registration as the Company may reasonably request.

  • By its acquisition of Registrable Securities, Holder agrees that, upon receipt of a notice from the Company of the occurrence of any event of the kind described in Section 3(d)(iii) through (vi), Holder will forthwith discontinue disposition of such Registrable Securities under a Registration Statement until it is advised in writing (the “Advice”) by the Company that the use of the applicable Prospectus (as it may have been supplemented or amended) may be resumed.

  • To facilitate the allocation of shares in accordance with the above provisions, the underwriters may round the number of shares allocated to the Company or any Registrable Securities Holder to the nearest 100 shares.

  • The rights granted pursuant to this Section 9 will terminate as to any Registrable Securities Holder when such Registrable Securities Holder no longer holds any Registrable Securities.

Registrable Securities Holder means any of the following: (a) the Holder; (b) the record holder of any Other Warrant; and (c) any other Person (where “Person” means any individual, corporation, partnership (limited or general), limited liability company, trust, joint venture, association or other entity) that has been the record holder of any Other Warrant and that (at the relevant time) is the record holder of shares of Common Stock issued to such Person upon the exercise of such Other Warrant.
Registrable Securities Holder means the holder of Registrable Securities at the time referenced.
Registrable Securities Holder means the Parent, a wholly-owned or majority-owned subsidiary of the Parent who holds Registrable Securities.

  • Registrable Securities means all of the Shares and the Warrant Shares, together with any shares of Common Stock issued or issuable upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Included Registrable Securities has the meaning specified therefor in Section 2.02(a) of this Agreement.

  • Registrable Securities then outstanding means the number of shares determined by adding the number of shares of outstanding Common Stock that are Registrable Securities and the number of shares of Common Stock issuable (directly or indirectly) pursuant to then exercisable and/or convertible securities that are Registrable Securities.

  • Shelf Registrable Securities has the meaning set forth in Section 1(d)(i).

  • Registrable Amount means an amount of Registrable Securities having an aggregate value of at least $200,000,000 (based on the anticipated offering price (as determined in good faith by the Requesting Shareholders)).

  • Takedown Requesting Holder shall have the meaning given in subsection 2.3.3.

  • Selling Holders means, with respect to a specified registration pursuant to this Agreement, Holders whose Registrable Securities are included in such registration.

  • Electing Holder means any holder of Registrable Securities that has returned a completed and signed Notice and Questionnaire to the Company in accordance with Section 3(d)(ii) or 3(d)(iii) hereof.

  • Registrable IP means all patents, patent applications, statutory invention registrations, registered trademarks, registered service marks, registered Internet domain names and copyright registrations.
